Clifford Chance advises China Three Gorges Spain on its acquisition of a 619MW renewables portfolio in Spain from Nexwell Power
Leading international law firm Clifford Chance has advised China Three Gorges Spain (CTGS) on its agreement to acquire a 619MW portfolio of photovoltaic projects in Spain from Nexwell Power and its strategic partner Ibox Energy, both units of Nexwell Group. The portfolio comprises 27 solar PV plants mainly located in the south of Spain, at different stages of development: operating, under construction and in advanced development.
Under its agreement with Nexwell Power, CTGS will acquire two operational solar PV assets (totalling c.153MW) and one under-construction asset (c.52MW), while its agreement with Ibox Energy is for three late-stage development assets totalling c.413MW, that are expected to become operational over the next few years. The transaction, which is being led and managed by the Nexwell Group, also provides for Nexwell Power to deliver the construction of roughly half of the assets under development.
A cross-border, cross-practice team in China and Spain advised on the acquisition, co-led by China Co- Managing partner Terence Foo and Barcelona partner Guillermo Guardia. The partners were supported by counsel Fang Bao, associate Ji Zhang and trainee Xiaohan Sun in Beijing and counsel Javier Hermosilla, senior associates Jorge Martín and Beatriz Pérez Alonso and associates Andreina Velasquez and Conrado López in Madrid. Madrid partner Eugenio Fernández Rico and associates Pablo Cancelo and Álvaro Cabaleiro advised on the project finance aspects of the deal. Regulatory and FDI advice was provided by partner José Luis Zamarro, senior associate Marc Casas and associate Alba Sande in Madrid, together with partner Yong Bai, counsel Dayu Man and associate Nan Lan in Beijing who also advised on antitrust matters together with counsel Begoña Barrantes and associate Clara Iglesias in Madrid.

CTGS is part of CTG Europe, a subsidiary of CTG Group, which is the largest clean energy group in China and the largest hydropower enterprise in the world, with a consolidated installed capacity of
87.6GW and total assets of approximately US$148 billion.
Clifford Chance previously advised CTG Europe on its acquisition of a 181MW operating wind portfolio in Spain from EDP Renováveis, S.A. and on the financing of CTG Europe's acquisition of a 572MW solar portfolio in Spain from X-Elio.

La firma internacional Clifford Chance ha asesorado a China Three Gorges Spain (CTGS) en su acuerdo para la adquisición de una cartera de proyectos fotovoltaicos de 619MW ubicados en España, de Nexwell Power y su socio estratégico Ibox Energy, ambas pertenecientes a Nexwell Group. La cartera comprende 27 plantas fotovoltaicas ubicadas principalmente en el sur de España, en diferentes etapas de desarrollo (en operación, en construcción y en desarrollo avanzado).
En virtud de su acuerdo con Nexwell Power, CTGS adquirirá dos activos fotovoltaicos operacionales (con un total de unos 153MW) y un activo en construcción (con unos 52MW), mientras que su acuerdo con Ibox Energy incluye tres activos en últimas etapas de desarrollo con un total de unos 413MW, que se espera que sean operativos en los próximos años. La transacción, que está siendo coordinada por Nexwell Group, también implica que Nexwell Power lleve a cabo la construcción de aproximadamente la mitad de los activos en desarrollo.

Clifford Chance asesoró previamente a CTG Europe en la adquisición de una cartera de activos eólicos en operación con un total de 181MW en España, de EDP Renováveis, y en la financiación de la adquisición por parte de CTG Europe de una cartera solar de 572MW en España, de X-Elio.
