Clifford Chance advises Macquarie Infrastructure and Real Assets on EUR 3.5 billion acquisition of Currenta from Bayer and Lanxess

Macquarie Infrastructure and Real Assets (MIRA) managed funds have reached agreement with Bayer AG and Lanxess AG to acquire their respective shares in chemical park operator Currenta. The transaction has a total volume of EUR 3.5 billion before deduction of net debt and pension obligations and still requires the approval of the responsible authorities. International law firm Clifford Chance provided comprehensive legal advice to MIRA, the world’s largest infrastructure investor, on this transaction.

Currenta manages and operates infrastructure, energy supply and other essential services across the chemical parks in Leverkusen, Dormagen and Krefeld-Uerdingen and is currently a joint venture of Bayer (60 percent) and Lanxess (40 percent).

MIRA is a part of Macquarie Group and has been active in Germany for 30 years. The infrastructure manager has extensive experience in Currenta’s core business areas including utilities, transport, logistics, storage, waste management and treatment services.

Clifford Chance’s experienced infrastructure team advised on a number of aspects of the Currenta acquisition including the separate purchase agreements with Bayer and Lanxess as well as on the financing of the transaction and the transfer of real estate. As part of the transaction, Bayer and Currenta have agreed on the conclusion of separate asset purchase agreements for the acquisition of certain Chempark property and infrastructure.
