Clifford Chance advises Five V Capital on the acquisition of a majority stake in Agile Energy
Global law firm Clifford Chance has advised Five V Capital on the acquisition of a majority interest in Agile Energy. Agile Energy is an Australian provider of solar and battery solutions for commercial and industrial clients.
Agile Energy installs, owns and operates rooftop solar and battery systems at client sites, in addition to facilitating carbon offset certificates (including ACCU).
Five V Capital partnered with the Australian Government's Clean Energy Finance Corporation to undertake the transaction. The investment is expected to accelerate funding to Agile Energy to develop its pipeline of solar and battery Power Purchase Agreement (PPA) projects and new customer acquisition opportunities. Agile Energy currently has to date originated 50 M/W of projects across Australia, it is looking to expand to beyond 200 M/W nationwide.
Reuben van Werkum, Director of Private Equity, Energy and Infrastructure said, "We are very proud to support our longstanding client Five V Capital on this transaction. The Agile Energy business is operating in an exciting growth space in Australia – assisting commercial customers to monetise rooftop space and secure sustainable electricity for their businesses. We look forward to supporting the Five V and Agile Energy teams to scale up the platform and move to the next phase of its growth journey."
Reuben led the cross-practice team together with partner Nadia Kalic (Energy/Projects). The core Corporate deal team included senior associate Lucy Conway and associates Nimesh Kularatne and Julia Rowland, who ran the M&A aspects of this transaction. This team was well-supported with energy sector specialist input from associates William Lucas and Chantelle Masters, and support from partners Clancy King (Employment) and Elizabeth Hundt Russell (Debt); counsel Rebecca Elgar (Real Estate), Katie Joukadjian (Construction) and Alexander Sorgese (Debt); senior associate Chloe Sherrington (Real Estate); and associate Jordan Jeffcoat (Employment).
This transaction builds on Clifford Chance's market-leading expertise in the energy and infrastructure sectors, including recent work advising La Caisse on its acquisition of Edify Energy and Photon Energy on the sale of its Yadnarie solar and energy storage project.
