Clifford Chance advising Symrise on sale of food ingredients business

Clifford Chance is advising Symrise AG in connection with the sale of its chicken-based food ingredients business located in Banks County, Georgia to Kerry. The sale was mandated by the US Department of Justice ("DOJ") as a condition to receiving clearance from the DOJ in connection with Symrise's US$900 million acquisition of American Dehydrated Foods ("ADF") and International Dehydrated Foods ("IDF") announced earlier this year and on which Clifford Chance is also advising. Terms of the transaction were not disclosed.

Symrise, a global supplier of fragrances, flavors, food and cosmetic ingredients with clients that include manufacturers of perfumes, cosmetics, food, beverages and pharmaceuticals, and producers of nutritional supplements and pet food, intends to combine ADF / IDF with its Symrise Nutrition division, Diana Food, to create a leading global player in meat and egg-based protein specialties with a focus on all-natural and sustainable solutions.
