Clifford Chance advised on the expansion and financing of the construction of the third Baltic Hub (DCT) terminal

International law firm Clifford Chance advised Baltic Hub (DCT) on the expansion and refinancing of its existing debt and the construction of the third deep water sea container terminal. Baltic Hub (DCT Gdańsk) is one of the fastest growing in the world and the largest container terminal in the Baltic Sea, regularly serving the world's largest container vessels.

Financing in the total amount of EUR 863.5 million was granted to companies – Baltic Hub sp. z o.o. and DCT Gdańsk sp. z o.o.

We advised on the drawing up and negotiations of both the main financing documents and project documents. The consortium of lenders was composed of 11 entities.

The Clifford Chance team advising on the financing was supervised by Andrzej Stosio (Partner) and was composed of: Irena Floras-Goode (Counsel), Piotr Węcławowicz (Associate), Natalia Karasiewicz (Associate), Artur Gładysz (Associate), Aleksander Smakosz (Associate) and Aleksandra Sierac. Maksymilian Jarząbek (Senior Associate) advised the client in connection with the ESG component of the facility agreement.

Advice on the expansion of the terminal, in particular the negotiation of contracts for the construction of the terminal and the delivery of ship-to-shore cranes, was provided by a team led by Daniel Kopania (Partner), which included Prof. Piotr Bogdanowicz (Counsel) and Adrian Król (Associate).

Anna Thwaites (Partner), Genevieve Wohlfeil (Associate) and Lucy Garratt (Associate) advised on English law aspects of the transaction. Marc Mehlen (Partner), Alexandre Sensi (Senior Associate) and Pierre Bellec (Associate) assisted on the Luxembourg financing aspects as well.

Międzynarodowa kancelaria Clifford Chance doradzała na rzecz Baltic Hub (DCT) w związku z rozbudową i refinansowaniem istniejącego zadłużenia oraz budowy trzeciego terminala morskiego. Baltic Hub (DCT Gdańsk) to jeden z najszybciej rozwijających się na świecie i największy na Bałtyku terminal kontenerowy, regularnie obsługujący największe statki kontenerowe świata.

Finansowanie w łącznej kwocie 863,5 milionów EUR zostało udzielone spółkom – Baltic Hub sp. z o.o. oraz DCT Gdańsk sp. z o.o.

Nasze doradztwo obejmowało zarówno przygotowanie i negocjowanie głównych dokumentów dotyczących finansowania, jak również dokumentów projektowych. Konsorcjum finansujące składało się z 11 podmiotów.
