Clifford Chance advises Clayton, Dubilier & Rice on its bid for Huntsworth PLC

International law firm Clifford Chance has advised Clayton, Dubilier & Rice ("CD&R"), the U.S. based private investment firm, on its bid for Huntsworth PLC, which provides marketing and medical communication services to pharmaceutical companies, which values the company at approximately £524 million.

As part of the bid, CD&R will support Huntsworth's focus on driving organic growth and executing accretive add-on acquisitions. Huntsworth's shareholders will receive 108 pence per share in cash.

The bid for Huntsworth is the latest in a series of high profile public to private transactions that Clifford Chance has advised on, including the £4.77 billion acquisition of Merlin Entertainments by KIRKBI, Blackstone and CCPIB and the $3.4 billion acquisition of Inmarsat by Warburg Pincus and Apax.

The bid demonstrates the strength of Clifford Chance's integrated and cross-border offering with lawyers and teams involved from the firm's offices in London, New York, Washington and Luxembourg. The team was led by Private Equity and Global Relationship Partner Simon Tinkler, and Corporate Partners Katherine Moir and Steven Fox. The share options aspect was led by Partner Sonia Gilbert. The team was supported by Corporate and Private Equity Lawyers Erik O'Connor, Fiona Coffee, Olivia Higgs, George Holman, Martin Kolmar, Maria Shodeinde, Antitrust Lawyer Jenny Storey, Real Estate Lawyer Catherine Cook and Share Options Lawyer Becky Moore.

Clifford Chance Banking and Finance Partner David Robson and his team advised the lending banks to CD&R.
