Clifford Chance advises MediaMarktSaturn on restructuring its Greek operations

MediaMarktSaturn has found a sustainable solution for its Greek operations. It has established a joint venture with the Olympia Group to cover the Greek and Cypriot markets. Clifford Chance advised MediaMarktSaturn on the legal aspects of this cross-border deal.

MediaMarktSaturn will hold 25% of the shares in the new company and the Olympia Group will hold the other 75%. Both parties will transfer their operating companies in Greece and Cyprus, MediaMarkt Greece and the consumer electronics and entertainment retailer Public, to the new entity.

The deal is subject to approval from the relevant competition authorities.

MediaMarkt Greece, with its twelve stores and its online platform mediamarkt.gr, reported revenues of EUR 186 million in 2017/18 which put it in fourth place in a fragmented market. Public generated revenues of EUR 256 million in 2018 from its 55 stores and its websites public.gr and publiccyprus.com.cy.

Clifford Chance berät MediaMarktSaturn bei Neuordnung des Griechenland-Geschäfts

MediaMarktSaturn hat eine nachhaltige Lösung für ihre griechischen Aktivitäten gefunden. Gemeinsam mit der Olympia Gruppe hat MediaMarktSaturn ein neues Unternehmen zur Abdeckung des Marktes in Griechenland und Zypern gegründet. Die internationale Anwaltssozietät Clifford Chance hat MediaMarktSaturn bei der grenzüberschreitenden Transaktion rechtlich beraten.

MediaMarktSaturn hält künftig 25 Prozent der Anteile an der neuen Einheit, die Olympia Gruppe übernimmt 75 Prozent. Beide Parteien übertragen ihre operativen Gesellschaften MediaMarkt Griechenland bzw. den Consumer Electronics- und Entertainment-Händler Public in Griechenland und Zypern an die neue Organisation.

Die Transaktion unterliegt der Zustimmung der Wettbewerbsbehörden.

MediaMarkt Griechenland erzielte mit 12 Stores und Onlineshop mediamarkt.gr. 2017/18 einen Umsatz von 186 Millionen Euro und hält damit Rang 4 in einem fragmentierten Gesamtmarkt. Public erreichte 2018 mit 55 Märkten und den Webseiten public.gr und publiccyprus.com.cy einen Umsatz von 256 Millionen Euro.
