Clifford Chance acted as buy-side advisor on the acquisition of a portfolio of infrastructure assets from Ardian

Ardian, an investment and management company, entered into an agreement regarding the sale of a portfolio of assets amounting to more than one billion Euros, as a result of an auction process won by APG.

The portfolio comprises infrastructure assets from Ardian's second generation infrastructure funds, which closed in 2007. The transaction follows Ardian's undertaking, at the creation of the fund, to explore liquidity options for investors after the ten-year mark. The portfolio comprises high quality strategic assets: the Italian gaz supplier 2i Rete Gas, the French high speed line Lisea, the Spanish highway Trados M-45, the French network of rail telecommunication Synerail, companies specialised in renewable energy (the French company Kallista Energy, and the Italian company 3 New & Partners), the French highway A88 and the Italian hospital HISI Legnano.

Clifford Chance acted as buy-side advisor with, in Paris, a team led by Benjamin de Blegiers and Gilles Lebreton, partners, Marine Jamain and Thierry Diouf, associates, for the M&A aspects. Chloé Desreumaux and Nina Yoshida, associates, took part in the operation for the financing parts while the public law aspects have been handled by Gauthier Martin, counsel, and Clément Fricaudet, associate. An Antitrust team led by Katrin Schallenberg, partner, with the support of Amélie Lavenir and Fernando Las Navas, associates, was also involved. The Clifford Chance Madrid team consisted of Samir Azzouzi, Enif Lobelos, José Luis Zamarro and Melchor Álvarez de Mon. Umberto Penco Salvi, from the Milan office, advised on the Italian aspects.

Ardian, société d’investissement et de gestion, a conclu un accord concernant la cession d’un portefeuille d’actifs d’un montant de plus d’un milliard d’euros, au terme d’un processus d’enchères remporté par APG.

Le portefeuille se compose d'actifs d’infrastructure qui proviennent de la deuxième génération de fonds d’infrastructure d’Ardian, dont la levée a été finalisée en 2007. La transaction fait suite à l’engagement pris par Ardian, lors de la création du fonds, de fournir de la liquidité aux investisseurs à compter du dixième anniversaire du fonds. Ce portefeuille est constitué d’actifs stratégiques de grande qualité : la société italienne de distribution de gaz 2i Rete Gas, la LGV française Lisea, l’autoroute espagnole Trados M-45, le réseau français de télécommunication ferroviaire Synerail, des sociétés spécialisées dans les énergies renouvelables (le français Kallista Energy et l’italien 3 New & Partners), l’autoroute française A88, et l’hôpital italien HISI Legnano.

Chloé Desreumaux et Nina Yoshida, collaboratrices, sont intervenues sur le volet Financement tandis que les aspects Droit public ont été gérés par Gauthier Martin, counsel et Clément Fricaudet, collaborateur. Une équipe Antitrust dirigée par Katrin Schallenberg, associée, avec le support d'Amélie Lavenir et Fernando Las Navas, collaborateurs, est également intervenue.
