Clifford Chance advises Unibail-Rodamco-Westfield SE in the context of its innovative exchange offer
Clifford Chance has advised Unibail-Rodamco-Westfield SE ("URW"), owner, developer and operator of sustainable, high-quality real estate assets in the main cities in Europe and the United States, in the context of its exchange offer whereby URW invited holders of its hybrid Perp-NC 2023 bonds (the "Existing Bonds") to offer to exchange their Existing Bonds for a combination of (i) newly issued euro-denominated deeply subordinated perpetual fixed rate resettable Perp-NC5.25 bonds to be issued by URW (the "New Bonds") and (ii) a cash amount.
This exchange offer was the first of its kind for URW and the very first exchange offer for a corporate issuer with a consideration for hybrid bondholders made up of a combination of new hybrid bonds and a cash amount, corresponding to the total amount of hybrid bonds exchanged by each holder under the exchange offer.
The completion of the exchange offer was conditional upon the satisfaction of a minimum new issue size condition being EUR 500 million. This condition was comfortably satisfied, with URW able to exchange a total of EUR 1.15 billion of Existing Bonds under the exchange offer, issuing New Bonds for a total aggregate principal amount of EUR 995 million and an initial fixed rate of interest of 7.25%.
The settlement of the exchange offer (i.e. the issue of the New Bonds, the exchange of the Existing Bonds for the New Bonds and the payment to each holder which has participated to the exchange offer of the cash amount together with the amount of interest accrued under the Existing Bonds) occurred on 3 July.
Clifford Chance advised URW in relation to the exchange offer and the new issue, with a team composed of Cédric Burford, partner, Alexander Tollast and Auriane Bijon, counsel, and Jessica Hadid and Baya Hariche, associates, in Paris, who have covered both the French law and English law aspects of the transaction, and Michiel Sunderman, partner, and Nolan Groenland, counsel, in Amsterdam for the Dutch tax law aspects.

Clifford Chance a conseillé Unibail-Rodamco-Westfield SE ("URW"), propriétaire, développeur et opérateur d'actifs immobiliers durables et premium dans les principales villes d'Europe et des États-Unis, dans le cadre de son offre d'échange aux termes de laquelle URW a invité les porteurs de ses titres hybrides Perp-NC 2023 (les "Obligations Existantes") à soumettre leurs Obligations Existantes pour échange en contrepartie d'une combinaison (i) de nouvelles obligations super-subordonnées à taux fixe resettable Perp-NC5.25 libellées en euro émises par URW (les "Nouvelles Obligations") et (ii) un montant en numéraire.
Cette offre d'échange était la première offre de ce type par URW et la toute première offre d'échange par une société proposant aux porteurs de titres hybrides une contrepartie composée d'un ensemble de nouveaux titres et d'un montant en numéraire, le tout correspondant au montant de titres hybrides échangés par chaque porteur participant à l'offre d'échange.
La réalisation de l'offre d'échange était soumise à une condition de taille minimum de la nouvelle émission fixée à un montant de 500 millions d'euros, condition qui a été largement remplie puisque, dans le cadre de l'offre d'échange, URW a pu échanger un total de 1,15 milliard d'euros d'Obligations Existantes et émettre les Nouvelles Obligations pour un montant total en principal égal à 995 millions d'euros et un taux d'intérêt initial de 7,25 %.
Le règlement de l'offre d'échange (à savoir l'émission des Nouvelles Obligations, l'échange des Obligations Existantes contre les Nouvelles Obligations et le paiement du montant en numéraire et des intérêts courus au titre des Obligations Existantes à chaque porteur qui a participé à l'offre d'échange) a eu lieu le 3 juillet dernier.
Clifford Chance a conseillé URW dans le cadre de l'offre d'échange et de la nouvelle émission, avec une équipe composée de Cédric Burford, associé, Alexander Tollast et Auriane Bijon, counsel, et Jessica Hadid et Baya Hariche, collaboratrices, à Paris, qui ont couvert à la fois les aspects de droit anglais et de droit français, et Michiel Sunderman, associé, et Nolan Groenland, counsel, à Amsterdam, pour les aspects liés au droit fiscal néerlandais.
