Clifford Chance advises Symrise on acquisition of a minority stake in Synergio

Clifford Chance has advised Symrise AG on the acquisition of a minority stake in Bio-Actives Synergio Ltd. ("Synergio"). Through its cosmetic ingredients division, Symrise has entered into a strategic participation with the biotech company, which was founded in Jerusalem in 2009. Completion is subject to certain conditions and the parties have agreed to keep the financial details confidential.

Synergio develops plant-based bio-active ingredients for personal care products and cosmetics. Its core technologies include antimicrobial solutions. Using a data-driven biochemistry-based computer platform, Synergio has built up in-depth knowledge of plant bio-actives and their synergies.

For Symrise, the investment is a strategic step towards expanding its position in the area of product protection in the personal care industry. Symrise has the option of acquiring a majority stake in Synergio's share capital in future.

Symrise's cosmetic ingredients division is a global leader in solutions for the personal care market. Employing more than 11,000 people in 2021, Symrise operates in more than 150 countries around the world and generates turnover of around EUR 3.826 million.

Die internationale Anwaltssozietät Clifford Chance hat Symrise AG bei dem Erwerb einer Minderheitsbeteiligung an der Bio-Actives Synergio Ltd. ("Synergio") beraten. Symrise beteiligt sich über seinen Geschäftsbereich Cosmetic Ingredients strategisch an dem 2009 in Jerusalem gegründeten Biotech-Unternehmen. Der Vollzug der Transaktion unterliegt Bedingungen. Die Vertragsparteien haben vereinbart, die Finanzdetails der Investition vertraulich zu behandeln.

Synergio entwickelt pflanzliche Bio-Wirkstoffe für Körperpflege- und Kosmetikprodukte. Zu den Kerntechnologien gehören antimikrobielle Wirkstoffe. Für Symrise ist die Investition ein strategischer Schritt zum Ausbau seiner Position im Bereich Produktschutz in der Körperpflegeindustrie. Symrise hat die Möglichkeit, in der Zukunft eine Mehrheitsbeteiligung am Aktienkapital von Synergio zu erwerben.
