Clifford Chance advises Neuraxpharm on strategic alliance with Minoryx for new therapy for rare CNS disease
International law firm Clifford Chance has advised the Neuraxpharm Group on the completion of a strategic license agreement with Minoryx Therapeutics, a Spanish late-stage biotech company.
Under the agreement, Neuraxpharm obtains exclusive rights to commercialize leriglitazone, the lead candidate of Minoryx, in Europe and will join with Minoryx to continue the further development of leriglitazone. Minoryx retains full rights to leriglitazone in the US and the rest of world, excluding already partnered China.
Leriglitazone is a novel treatment that has been granted orphan drug status from the European Medicines Agency (EMA) and is currently undergoing an EMA approval process for the treatment of the rare neurodegenerative disease X-linked adrenoleukodystrophy (X-ALD). Leriglitazone will be the first approved treatment for adult male patients with X-ALD if it is approved by the EMA. Neuraxpharm and Minoryx are further committed to jointly continue the development of leriglitazone for additional X-ALD patient populations and other orphan indications.
As part of the agreement, Neuraxpharm pays Minoryx a significant double-digit upfront payment in addition to milestone payments and development funding totalling up to EUR 258 million in the aggregate. Also, Minoryx further receives material tiered double-digit royalties.
Tapping into the business segment of orphan drugs to treat rare diseases via this license agreement is a new approach for Neuraxpharm. In this strategically relevant step, the company builds on its extensive expertise in the field of CNS disorders.

Clifford Chance berät Neuraxpharm bei strategischer Allianz mit Minoryx für eine neue Therapie zur Behandlung von seltenen ZNS-Erkrankungen
Die internationale Anwaltssozietät Clifford Chance hat die Neuraxpharm-Gruppe beim Abschluss einer strategischen Lizenzvereinbarung mit dem spanischen Biotech-Unternehmen Minoryx Therapeutics beraten.
Gemäß der Vereinbarung erhält Neuraxpharm die Exklusivrechte für die Vermarktung von Leriglitazon, dem führenden Produkt von Minoryx, in Europa und wird gemeinsam mit Minoryx die weitere Entwicklung des Wirkstoffs vorantreiben. Minoryx behält die vollen Rechte an Leriglitazon in den USA und dem Rest der Welt, mit Ausnahme von China, wo sie bereits eine andere Partnerschaft unterhalten.
Leriglitazon ist eine neuartige Therapie, die von der Europäischen Arzneimittelbehörde (EMA) den Status eines Arzneimittels für seltene Leiden erhalten hat und für die derzeit ein Zulassungsverfahren für die Behandlung der seltenen neurodegenerativen Erkrankung X-chromosomale Adrenoleukodystrophie (X-ALD) bei der EMA läuft. Leriglitazon wird die erste zugelassene Pharmakotherapie für erwachsene männliche Patienten mit X-ALD sein, wenn sie von der EMA zugelassen wird. Neuraxpharm und Minoryx verpflichten sich darüber hinaus, gemeinsam die Entwicklung von Leriglitazon für weitere X-ALD-Patientengruppen und für andere seltene Erkrankungen fortzusetzen.
Im Rahmen der Vereinbarung leistet Neuraxpharm an Minoryx eine signifikante zweistellige Vorauszahlung sowie Meilensteinzahlungen und eine Entwicklungsfinanzierung in Höhe von insgesamt bis zu 258 Millionen Euro. Darüber hinaus erhält Minoryx weitere zweistellige Lizenzgebühren.
Die Erschließung des Geschäftsfeldes der Arzneimittel für seltene Erkrankungen durch eine Lizenzvereinbarung ist ein neuer Ansatz für Neuraxpharm. Mit diesem strategisch wichtigen Schritt baut das Unternehmen auf seine umfassende Expertise im Bereich der Erkrankungen des Zentralen Nervensystems auf.
