Clifford Chance advises Infrastructure Investments Fund in the acquisition of a controlling stake in Falck Renewables S.p.A.
Clifford Chance has advised Infrastructure Investments Fund (IIF), a long-term investor in infrastructure and infrastructure-related assets, with a focus on contracted energy assets, utilities, and transportation/GDP-linked assets in OECD countries, in the signing of a sale and purchase agreement, for the acquisition of Falck SpA’s entire stake in Falck Renewables SpA, equal to approximately 60 per cent of the share capital.
IIF's investment will allow Falck Renewables SpA to accelerate its next stage of growth to fully capitalize on the new opportunities arising in the renewable energy sector and to position itself as a key player in today’s highly active markets.
Clifford Chance advised IIF with a multifunctional team from Milan led by partners Paolo Sersale and Umberto Penco Salvi with counsel Stefano Parrocchetti Piantanida, associate Shirin Niazi and trainees Lorena Sarah Loos and Michelangelo Taibi. On Finance aspects advice was provided by partner Ferdinando Poscio with associate Thea Romeo, supported by trainee Giovanni Fierro. Debt Capital Markets profiles were covered by senior associate Jonathan Astbury, while on Antitrust matters advice was provided by partner Luciano Di Via and associate Laura Tresoldi. On Labour Law and Tax profiles advice was provided, respectively, by partner Simonetta Candela and partner Carlo Galli with senior associate Andrea Sgrilli.
