Clifford Chance advises Block.one on EUR 365 million sale of Decentric Europe to Northern Data

International law firm Clifford Chance has advised Block.one, a technology-focused investment company, on the sale of its portfolio company Decentric Europe BV to Northern Data AG. As a result, Northern Data, a leading infrastructure supplier for high performance computing (HPC) applications, will acquire all of Decentric's graphics processing unit (GPU) hardware. This GPU hardware includes approximately 223,000 GPU cards produced by AMD and Nvidia, which are installed in more than 24,000 server systems.

The transaction involves a cash component in the amount of EUR 195 million to be paid within 12 months as well as approximately EUR 170 million in new shares (2.3 million shares) from a capital increase in kind effected through issuance of Northern Data's registered authorized capital exclusive of any shareholder subscription rights. Taking into account this transaction, Block.one will hold an interest of approximately 18.2 percent in Northern Data.

The large-scale project will build one of the world's largest GPU-based distributed computing clusters for HPC applications and will involve locations in Norway, Sweden, the Netherlands and Germany. Apart from the infrastructure solutions, which include locations, data centres and technical equipment, the hardware acquisition represents a strategic asset build-up that complements Northern Data's existing high-performance servers. The additional computing power generated through this transaction will be deployed for strategic HPC applications of Northern Data customers such as rendering, artificial intelligence, blockchain applications and the internet of things.

Die internationale Anwaltssozietät Clifford Chance hat Block.one, eine technologie- fokussierte Investmentgesellschaft, beim Verkauf ihres Portfoliounternehmens Decentric Europe BV an Northern Data AG rechtlich beraten. Damit erwirbt Northern Data, ein führender Infrastrukturanbieter für High Performance Computing (HPC)- und Blockchain-relevante Rechenzentrumslösungen, die komplette Graphikprozessoren (GPU)-Hardware der Decentric. Die GPU-Hardware umfasst rund 223.000 GPU-Karten von AMD und Nvidia, die in mehr als 24.000 Serversystemen verbaut sind.

Die Transaktion setzt sich aus einer Barkomponente in Höhe von 195 Millionen Euro, die innerhalb von 12 Monaten bezahlt wird, und einer Sachkapitalerhöhung in Höhe von rund 170 Millionen Euro (2,3 Millionen Aktien) zusammen. Die neuen Aktien werden unter teilweiser Ausnutzung des eingetragenen genehmigten Kapitals von Northern Data bei Ausschluss des Bezugsrechtes der Aktionäre ausgegeben. Block.one hält nach der Transaktion – inklusive der bereits von Block.one gehaltenen Aktien – rund 18,2 Prozent der Anteile an Northern Data.

Mit dem Großprojekt soll eines der weltweit größten GPU-basierten Distributed Computing Cluster für ffhHPC-Anwendungen an Standorten in Norwegen, Schweden, den Niederlanden und Deutschland entstehen. Neben den Infrastrukturlösungen, die Standorte, Rechenzentren und technisches Equipment umfassen, erfolgt durch die Hardware-Übernahme ein strategischer Aufbau des Anlagevermögens, der die bestehenden Hochleistungs-Server von Northern Data komplettiert. Die zusätzliche Rechenleistung soll für HPC-Anwendungen wie Rendering, künstliche Intelligenz, Blockchain-Anwendungen und Internet of Things für die Kunden von Northern Data verwendet werden.
