Clifford Chance advises KKR and Reggeborgh on the sale of Deutsche Glasfaser to EQT and OMERS

Clifford Chance has advised leading global investment firm KKR and Reggeborgh on the signing of an agreement with EQT and OMERS, for EQT and OMERS to jointly acquire Deutsche Glasfaser. The closing of the transaction is expected in the second quarter of 2020, subject to customary regulatory approval.

Deutsche Glasfaser was founded in 2011 and KKR acquired a majority position in 2015 from Dutch investor Reggeborgh. Under KKR’s ownership, Deutsche Glasfaser has become the fastest growing provider of gigabit internet connections through fibre-to-the-home (“FTTH”) in Germany. With KKR’s operational and financial support the company invested over  EUR 1.2 billion in fibre infrastructure and deployment in underserved rural and suburban communities in Germany, increasing connections to more than 600,000 households and 5,000 businesses.

According to EQT and Omers, Deutsche Glasfaser will be combined with EQT portfolio company inexio to form a leading FTTH player in rural Germany. EQT will own 51 percent in the combined group and Canadian pension fund OMERS will own 49 percent.

Clifford Chance had already advised KKR in relation to their investment in Deutsche Glasfaser in 2015. Furthermore, a Clifford Chance team recently advised Deutsche Glasfaser on a Euro 1.8 billion refinancing which serves the further expansion of the optical fibre infrastructure in Germany.

Clifford Chance berät KKR und Reggeborgh beim Verkauf von Deutsche Glasfaser an EQT und OMERS

Die internationale Anwaltssozietät Clifford Chance hat den globalen Finanzinvestor KKR und Reggeborgh beim Verkauf des Telekommunikationsunternehmens Deutsche Glasfaser an EQT und OMERS beraten. Der Vollzug der Transaktion wird vorbehaltlich der üblichen behördlichen Genehmigungen für das zweite Quartal 2020 erwartet. 

Deutsche Glasfaser wurde 2011 gegründet. 2015 erwarb KKR eine Mehrheitsbeteiligung vom niederländischen Investor Reggeborgh. Unter der Beteiligung von KKR ist die Deutsche Glasfaser zum am schnellsten wachsenden Anbieter von Gigabit-Internetverbindungen über Fiber-to-the-Home ("FTTH") in Deutschland geworden. Mit der operativen und finanziellen Unterstützung von KKR investierte das Unternehmen über 1,2 Milliarden Euro in die Glasfaserinfrastruktur und deren Ausbau in unterversorgten ländlichen und vorstädtischen Gemeinden in Deutschland. So steigerte Deutsche Glasfaser die Zahl der Glasfaser-Anschlüsse auf mehr als 600.000 Haushalte und 5.000 Unternehmen.

Nach Plänen von EQT und OMERS wird Deutsche Glasfaser mit dem EQT-Portfoliounternehmen inexio zu einem führenden FTTH-Anbieter im ländlichen Raum Deutschlands zusammengeführt. EQT wird 51 Prozent an der kombinierten Gruppe halten, der kanadische Pensionsfonds OMERS wird 49 Prozent besitzen.

Clifford Chance hatte KKR bereits 2015 bei der Investition in Deutsche Glasfaser beraten. Darüber hinaus hatte ein Clifford Chance-Team Deutsche Glasfaser kürzlich bei einer 1,8 Milliarden Refinanzierung beraten, die dem weiteren Ausbau der Glasfaser-Infrastruktur in Deutschland dient.
