Clifford Chance advises 3i portfolio company Hans Anders on acquisition of eyes + more

Leading international law firm Clifford Chance has advised the Dutch 3i portfolio company Hans Anders on the acquisition of optical retailer eyes + more. The sellers are Vendis Capital and a group of managers and private investors. 3i expects to invest up to c. €60 million in Hans Anders to support the transaction. Hans Anders is the market leading, value-for-money optical retailer in the Benelux and Sweden in which 3i invested in May 2017. Completion of the transaction is subject to customary approvals from competition authorities.

By acquiring eyes + more, Hans Anders expands its footprint to five countries, thus creating a leading European optical retail platform in the North-West European value-for-money segment. The concept of eyes + more will be continued.

eyes + more, founded in 2005 in the Netherlands, today operates 170 stores in Germany, the Netherlands, Belgium and Austria. In recent years the company has grown rapidly, largely driven by new store openings in Germany. The optical retailer offers a range of around 800 prescription glasses and private label sunglasses. The company differentiates itself through a simple, transparent pricing model to offer its customers affordable and fashionable glasses with a fixed price guarantee.

Die internationale Anwaltssozietät Clifford Chance hat die niederländische 3i-Portfoliogesellschaft Hans Anders bei der Übernahme des Augenoptik-Fachhändlers eyes + more beraten. Verkäufer sind Vendis Capital sowie eine Gruppe von Managern und Privatinvestoren. 3i plant, bis zu 60 Millionen Euro in Hans Anders zu investieren, um die Transaktion zu unterstützen. Hans Anders ist der marktführende Augenoptik-Einzelhändler in den Benelux-Ländern und Schweden, in den 3i im Mai 2017 investiert hatte. Die Transaktion steht noch unter dem Vorbehalt der Zustimmung durch die Kartellbehörden.

Mit der Transaktion erweitert Hans Anders seine Präsenz auf insgesamt fünf Länder und schafft damit eine führende europäische Plattform für den Augenoptik-Einzelhandel im Value-for-Money-Segment in Nordwesteuropa. Das Konzept von eyes + more soll dabei weitergeführt werden.

eyes + more wurde 2005 in den Niederlanden gegründet und betreibt heute 170 Filialen in Deutschland, den Niederlanden, Belgien und Österreich. In den letzten Jahren ist das Unternehmen stark gewachsen, vor allem durch Neueröffnungen in Deutschland. Der Fachhändler für Augenoptik verkauft ein Sortiment von ca. 800 verschreibungspflichtigen Brillen und Sonnenbrillen mit eigener Marke. Das Unternehmen unterscheidet sich durch ein einfaches, transparentes Preismodell, um seinen Kunden erschwingliche und modische Brillen mit Festpreisgarantie zu bieten.
