Clifford Chance advises Acino on the sale of its patch business to Luye Pharma Group Ltd.

Clifford Chance has advised Acino International AG, Zurich, Switzerland, and Acino Pharma AG on the sale of Acino's transdermal patch and implant businesses to Luye Pharma Group Ltd., China. The divestment includes Acino's transdermal manufacturing operations as well as distribution and R&D capabilities. Closing is expected to occur in the second half of 2016.

The divestment is in line with Acino’s strategy of shaping the organization for growth in emerging markets and further expanding Acino’s regional commercial presence in its key markets of the Middle East and Africa, the CIS region, and Latin America.

Acino develops, manufactures and internationally markets pharmaceuticals in novel drug delivery forms. Acino belongs to the leaders in advanced drug delivery technologies with a focus on modified release oral forms, oral dispersible forms, transdermal systems and extended release parenterals, for which it also holds patents.

Luye Pharma Group Ltd. focuses on developing, producing, marketing and selling innovative pharmaceutical products in four of the largest and fastest growing therapeutic areas — oncology, cardiovascular, metabolism and the central nervous system (“CNS”) therapeutic area. The Group has established production facilities and research and development (“R&D”) centers in China as well as offices in US, Malaysia and Singapore with over 3,400 employees. The shares of the Company are listed on the Main Board of the Stock Exchange of Hong Kong Limited.

Die internationale Anwaltssozietät Clifford Chance hat die Acino International AG, Zürich, Schweiz, und die Acino Pharma AG beim Verkauf von Acinos Geschäft mit transdermalen Pflastern und Implantat-Technologie an die Luye Pharma Group Ltd. beraten. Der Verkauf schließt Acinos Produktion transdermaler Pflaster, den Vertrieb sowie F&E-Projekte ein. Der Vollzug der Transaktion wird gegen Ende dieses Jahres erwartet. 

Die Veräußerung steht im Einklang mit Acinos Strategie, eine Organisation aufzubauen, die ihr Wachstum in Schwellenländern unterstützt und sich auf den Ausbau ihres Vertriebs in ihren Kernmärkten im Mittleren Osten, Afrika, den GUS-Staaten und Lateinamerika konzentriert.

Acino entwickelt, fertigt und vertreibt international Pharmazeutika in neuartigen Darreichungsformen. Acino gehört zu den Technologieführern im Bereich Advanced Drug Delivery mit Fokus auf orale Formen mit modifizierter Freisetzung, oral dispersible Formen, transdermale Systeme und parenterale Depotformen, für die Acino auch eigene Patente besitzt.

Der Schwerpunkt von Luye Pharma Group Ltd. liegt auf Entwicklung, Herstellung, Vermarktung und Verkauf innovativer pharmazeutischer Produkte auf den vier größten und am schnellsten wachsenden therapeutischen Gebieten – Onkologie, Herz-Kreislauf, Stoffwechsel und Zentrales Nervensystem. Die Unternehmensgruppe verfügt über Produktionsstätten und Forschungs-und Entwicklungseinrichtungen in China sowie über Büros in den USA, Malaysia und Singapur. Sie beschäftigt insgesamt über 3.400 Mitarbeiter. Die Aktien der Gruppe sind am Main Board der Stock Exchange of Hong Kong Limited notiert.
