New issuance

Our new issuance offering spans domestic and cross-border  transactions across all products including securitisations  (whole business, CMBS, RMBS and ABS), standalone corporate bonds, covered bonds, sukuks, repackaging  programmes, MTN programmes, regulatory and hybrid issuances, CLOs and CDOs, high yield and equity linked bonds,  project finance, asset finance (including aviation and ship  financings) and secured lending (including acquisition and  leveraged financings).

We often lead on new product  innovations, advising on new structures and asset classes. 

Post-issuance

Post-closing work encompasses advice on defaults, litigation,  liability management, restructurings and the exercise of powers  and duties in relation to amendments, waivers and refinancings. 

We also advise on contentious matters, issues of contractual  interpretation and construction, and the enforcement of rights.

As a single, integrated firm we are positioned to assist  our trustee and agency clients across the entire spectrum of  legal areas including tax, regulatory, real estate, dispute resolution, insolvency, restructuring and litigation.

We are  supported by a wealth of market expertise in multiple  jurisdictions including Europe (Germany, Italy and Spain), Asia (Hong Kong, Singapore and Tokyo), the United States  and the Middle East and have lawyers with trust expertise (and the equivalent creditor representation in civil jurisdictions)  in these regions.

As a result of these cross-practice capabilities, we are able to provide an integrated team of New York and English associates, with varying levels of seniority, across new issuance, post-closing and restructuring matters.

Landmark USD114.2 million Solar Power Project in Azerbaijan

Advising ADB, ADFD, EBRD and JICA as lenders to a 230 MW photovoltaic solar power project in Alat, Azerbaijan. The project was developed by leading renewable energy company, Masdar. The lender consortium committed long-term financing of USD 114.2 million.
