The Proposed UK Prospectus Reforms: A Change in Approach?

The UK Government has stated that it will use its post Brexit legislative flexibility to redesign the UK financial services framework.

In this article, we discuss what the UK Edinburgh Reforms look like and how they will affect the UK prospectus regime, including examining a new structure for the regime that separates “public offer” and “listing” prospectus exemptions. We also discuss the initial UK FCA Engagement Papers published in May 2023.
