Clifford Chance advises scientific instrument manufacturer Shimadzu on its acquisition of Tescan Group

Global law firm Clifford Chance is advising Japanese scientific instrument manufacturer Shimadzu Corporation (Shimadzu) on its acquisition of Tescan Group a.s. (Tescan), a leading European electron microscopy company by purchasing all shares of Glass HoldCo s.r.o., a special purpose company indirectly holding all Tescan shares, at an estimated purchase price of US$678 million, subject to adjustments.

The multi-jurisdictional transaction will combine Tescan's electron microscopy expertise with Shimadzu's strength in analytical measurement to deliver integrated solutions for high-growth sectors such as semiconductors and life sciences.

The firm previously advised on the financing of Carlyle's earlier acquisitions of Tescan and Meopta, as well as on the acquisition of Adastra Group, a Czech-Canadian technology company specialising in business intelligence, data management and digital transformation.
