Clifford Chance advises Mannai Corporation on the sale of Damas jewellery to Titan
Titan Company Limited ("Titan") through its wholly owned subsidiary Titan Holdings International FZCO ("Titan Holdings") has entered into an agreement for the sale and purchase of shares, to acquire a 67% stake in Damas LLC (UAE) ("Damas LLC"), current holding company for the Damas jewellery business in GCC countries from Mannai Corporation ("Mannai") (the "Proposed Transaction").
The consideration for the Proposed Transaction is arrived on the basis of the enterprise value of AED 1,038 million. On completion of the acquisition, Titan Holdings would hold 67% of the equity share capital and voting rights in Damas LLC and a path to acquire the balance 33% stake from Mannai after 31 December 2029, subject to conditions agreed upon in the definitive document.
The completion of the Proposed Transaction would be subject to certain conditions precedent, customary closing adjustments, and approvals from antitrust and other regulatory authorities in certain jurisdictions as may be applicable.

Titan Company Limited (« Titan »), par l’intermédiaire de sa filiale détenue à 100 %, Titan Holdings International FZCO (« Titan Holdings »), a conclu un contrat d'acquisition d’actions en vue d’acquérir une participation de 67 % dans Damas LLC (Émirats arabes unis) (« Damas LLC »), société actuellement détentrice de l’activité de joaillerie Damas dans les pays du CCG, auprès de Mannai Corporation (« Mannai ») (l' « Opération Envisagée »).
La valorisation de l'Opération Envisagée repose sur une valeur d’entreprise de 1 038 millions AED. À la réalisation de l’acquisition, Titan Holdings détiendrait 67 % du capital social et des droits de vote de Damas LLC, avec la possibilité d’acquérir les 33 % restants auprès de Mannai à compter du 31 décembre 2029, sous réserve des conditions convenues dans les accords définitifs.
La réalisation de l'Opération Envisagée serait soumise à certaines conditions suspensives, à des ajustements de closing habituels et à l'autorisation des autorités de concurrence et d'autres autorités réglementaires dans les juridictions applicables.
