Clifford Chance advises Brazilian fintech Méliuz on follow-on share offering to fund bitcoin asset purchase
Global law firm Clifford Chance has advised Brazilian fintech company Méliuz on its R$180 million follow-on offering of common shares and warrants. The proceeds of the offering will be used to purchase bitcoin cryptocurrency assets.
Counsel Anja Pfleger Andrade commented, "We are proud to bring our experience in the market and our global platform to guide our client on this innovative transaction, which positions Méliuz as the first Brazilian company to adopt a bitcoin-focused treasury model."
Working with Pfleger Andrade were staff attorney Pedro Henrique Menegat, trainee solicitor Brynley Hamer and intern João Godoy in São Paulo, and partners Jon Zonis, Jeff LeMaster and Avrohom Gelber and associates Emily Picard and Joshua Thomas in New York.
Clifford Chance advises on many offerings in the Brazilian market, including recently on the first issuance by Banco Votorantim's newly established Luxembourg branch, Brazil's Itaú Unibanco and Banco Bradesco's senior notes offering and sustainability-linked private placement and the issuance of US$750 million notes by Eletrobras, which was the first issuance of an "infrastructure bond" in the international markets.
