Clifford Chance advises placement agent in Tamboran Resources Corporation’s US$55.4 million private placement of common stock

Global law firm Clifford Chance advised the placement agent in Tamboran Resources Corporation's issuance of approximately 3.1 million shares of common stock in a private placement to institutional investors and certain other accredited investors for which it received gross proceeds of approximately US$55.4 million, before deducting placement agent fees and other offering expenses.

The initial US$44.4 million of the private placement closed on May 16, 2025. The closing of the remaining US$11 million is subject to approval by the Tamboran’s shareholders and the satisfaction of other customary closing conditions.

Houston partner Trevor Lavelle and New York partner Andrew Epstein led the transaction, along with capital markets associates Paul Lakkis and Johnathan Walker.
