Clifford Chance advised Carmila in the context of a cash tender offer for existing notes and its inaugural green notes issuance
In the context of this transaction, Carmila repurchased €200,100,000 of the following series of existing notes: (i) €300,000,000 1.625 per cent. notes due 30 May 2027, (ii) €350,000,000 2.125 per cent. notes due 7 March 2028 and (iii) €500,000,000 5.500 per cent. notes due 9 October 2028.
The tender offer follows the inaugural issuance by Carmila of a green bond of €300,000,000, with a maturity of 7 years and a coupon of 3.875%, on 17 September 2024.
Clifford Chance advised Carmila on the tender offer and the new issue, with its team consisting of Cédric Burford (partner), Alexander Tollast (counsel) and Batoul Laanani (associate).
Clifford Chance a conseillé Carmila dans le cadre d'une opération de rachat d'obligations existantes et d'une émission inaugurale d'obligations vertes
Dans le cadre de cette opération, Carmila a racheté au total 200 100 000 euros se rapportant aux souches d'obligations existantes suivantes : (i) obligations d'un montant de 300 000 000 d'euros au taux de 1,625 % arrivant à échéance le 30 mai 2027, (ii) obligations d'un montant de 350 000 000 d'euros au taux de 2,125 % arrivant à échéance le 7 mars 2028 et (iii) obligations d'un montant de 500 000 000 d'euros au taux de 5,500 % arrivant à échéance le 9 octobre 2028.
L'offre de rachat fait suite à l’émission inaugurale par Carmila d’un green bond de 300 000 000 d'euros, avec une échéance de 7 ans et un coupon de 3,875 %, réalisée le 17 septembre 2024.
Clifford Chance a conseillé Carmila sur l'offre de rachat et la nouvelle émission avec Cédric Burford (associé), Alexander Tollast (counsel) et Batoul Laanani (collaboratrice).
