Clifford Chance advises Sanity Group on the largest ever funding round for a European cannabis company

International law firm Clifford Chance has advised leading German cannabis company, Sanity Group, on its successful series B funding round. With a value of EUR 37.6 million, this represents the largest ever investment round for a CBD company in Europe and brings total funds raised by the company to more than EUR 100 million. The funding round was led by new investor BAT Group (British American Tobacco) with ongoing commitment from existing Sanity Group investors such as Redalpine, Casa Verde Capital, HV Capital and Calyx.

Sanity Group, which was founded in 2018, aims to improve quality of life through the use of cannabinoids, with a particular focus on wellbeing and cosmetic products. The new investment will fuel Sanity Group's growth and help the company push ahead with its preparations for the further legalisation of cannabis in Germany. The company also plans to strengthen its research and development activities and to expand its operations into other EU member states.

Partner Gunnar Sachs and his team previously advised the company on last year's successful series A funding round totalling EUR 35 million. Clifford Chance had already provided Sanity Group with legal advice on making its initial entry into the liberalised European market for cannabis-based products. The Firm's market-leading Healthcare & Life Science practice provides outstanding regulatory advice, including on cannabis and cannabis-based products. It therefore also won the JUVE Award for Law Firm of the Year for Regulated Industries (Healthcare & Life Sciences) in 2020.

The Clifford Chance team advising Sanity Group on its series B round was led by partner Gunnar Sachs and comprised associate Annabel Joschko (both Corporate/Healthcare & Life Sciences, Dusseldorf), partner Thomas Voland and associate Laura-Isabell Dietz (both Corporate/Public Law, Dusseldorf) as well as partner David Pasewaldt and senior associate Pedram Karami (both Litigation, Frankfurt).

Die internationale Anwaltssozietät Clifford Chance hat die Sanity Group GmbH, Deutschlands führendes Unternehmen im Bereich Cannabinoide, bei dessen erfolgreicher Series-B-Finanzierungsrunde beraten. Mit einem Volumen von 37,6 Millionen Euro handelte es sich um die bisher größte Finanzierungsrunde für ein Cannabisunternehmen in Europa. Das Gesamtinvestment in die Gruppe steigt damit auf über 100 Millionen Euro. Angeführt wurde die Finanzierungsrunde von Neuinvestor BAT Group (British American Tobacco); daneben haben sich auch zahlreiche bestehende Investoren wie u. a. Redalpine, Casa Verde Capital, HV Capital und Calyx erneut beteiligt.

Die 2018 gegründete Sanity Group fokussiert ihr Geschäft auf die Entwicklung und Vermarktung von Wellbeing- und Kosmetikprodukten auf Cannabinoid-Basis. Mit dem neuen Kapital sollen das bestehende Geschäft ausgebaut und die Vorbereitungen für die geplante weitere Cannabis-Legalisierung in Deutschland vorangetrieben werden. Das Unternehmen plant zudem, seine Forschungs- und Entwicklungsaktivitäten weiter auszubauen und in andere europäische Mitgliedstaaten zu expandieren.

Erst im vergangenen Jahr realisierte das Unternehmen erfolgreich seine Series-A-Finanzierungsrunde in Höhe von 35 Millionen Euro – auch hierzu beriet das Clifford Chance Team um Partner Dr. Gunnar Sachs. Zuvor stand das Beratungsteam von Clifford Chance Sanity Group auch bereits beim Einstieg in den liberalisierten europäischen Markt für Cannabis-basierte Produkte rechtlich zur Seite.
