Clifford Chance advises bank consortium and UK Export Finance on ground-breaking renewable energy project financing in Turkey

International law firm Clifford Chance has advised on the financing by a consortium of Turkish and international lenders of the design, construction, operation and maintenance of a photovoltaic power plant in the Karapınar region of Turkey, near Konya. Total investment cost for the project is over USD 1.1 billion. The sponsor of the project is Kalyon Group, a major Turkish conglomerate. In addition the financing of part of the equipment to be used for the project is backed by a guarantee from the UK Government, acting through UK Export Finance (UKEF).

Once complete, the power plant will have an installed capacity of more than 1300 MWp / 1000 MWe and will comprise of around 3.5 million ground mounted photovoltaic solar modules, which will be manufactured at a fully integrated factory in Ankara, which is also owned by Kalyon Group. Furthermore, the carbon dioxide savings of the fully operational solar power plant will be around 2 million tons per year.

The financing consortium comprises J.P. Morgan AG as UKEF facility agent, JPMorgan Chase Bank, N.A., London Branch as UKEF lender and UKEF mandated lead arranger, Türkiye Garanti Bankası A.Ş. as intercreditor agent, Türkiye İş Bankasi A.Ş., Başkent Corporate / Ankara Branch as security agent, Türkiye Garanti Bankası A.Ş. as commercial facility agent and Denizbank A.Ş., Türkiye Kalkınma ve Yatırım Bankası, Türkiye Garanti Bankası A.Ş., Türkiye İş Bankasi A.Ş., Başkent Corporate / Ankara Branch, Türkiye Vakıflar Bankası T.A.O. Ataşehir Corporate Branch and Türkiye Sınai Kalkınma Bankası A.Ş. as commercial lenders and commercial mandated lead arrangers.

This first of its kind deal which is implemented under the new Regulation on Renewable Energy Designed Areas of the Republic of Turkey (YEKA Regulation), is a ground-breaking transaction in this sector and includes a key agreement between the Turkish Ministry of Energy and Natural Resources, the finance parties and the borrower.

Die internationale Anwaltssozietät Clifford Chance hat ein Konsortium türkischer und internationaler Kreditgeber bei der Finanzierung von Planung, Bau, Betrieb und Wartung eines Photovoltaik-Kraftwerks in der türkischen Region Karapinar im Raum Konya beraten. Die Gesamtinvestitionskosten für das Projekt belaufen sich auf über 1,1 Milliarden US-Dollar. Sponsor des Projekts ist die Kalyon Group, ein großer türkischer Mischkonzern. Darüber hinaus wird die Finanzierung eines Teils der für das Projekt benötigten Ausrüstung durch eine Garantie der britischen Regierung abgesichert, die über die UK Export Finance (UKEF) tätig ist.

Nach seiner Fertigstellung wird das Kraftwerk eine installierte Leistung von mehr als 1300 MWp / 1000 MWe haben und aus rund 3,5 Millionen bodenmontierten Photovoltaik-Solarmodulen bestehen. Die Module werden in einer voll integrierten Fabrik in Ankara hergestellt, die sich ebenfalls im Besitz der Kalyon Group befindet. Das voll funktionsfähige Solarkraftwerk wird eine Kohlendioxid-Einsparung von rund 2 Millionen Tonnen pro Jahr ermöglichen.

Diese erste Transaktion ihrer Art wird im Rahmen der neuen Verordnung über die für Erneuerbare Energien-Projekte bestimmten Gebiete der Türkei (YEKA-Verordnung) durchgeführt und von der türkischen Regierung unterstützt. Die für den Sektor wegweisende Transaktion umfasst eine zentrale Vereinbarung zwischen dem türkischen Ministerium für Energie und natürliche Ressourcen, den Finanzierungspartnern und dem Kreditnehmer.
