Clifford Chance has advised Trinseo S.A. on the acquisition of an acrylate/latex production plant in the Rheinmünster chemical park. The seller is the U.S.-based The Dow Chemical Company. In addition to the production plant, Trinseo also intends to take over the operation of the chemical park from Dow, including central site services such as energy supply and maintenance.
Closing is scheduled for the second half of the year and is subject to regulatory approvals and other standard conditions.
The Rheinmünster chemical park currently has two latex production plants. Trinseo has owned the plant producing latex from styrene and butadiene (SB latex) since 2010, while Dow has operated the plant producing acrylate latex (A latex) to date. SB latex is mostly used in paper production and A latex in producing paint and adhesives.
Trinseo is a global supplier of material solutions and producer of plastics, latex binders and synthetic rubbers. Its products are used in the automotive industry, consumer electronics and household appliances, medical technology, lighting, electronics, carpets, paper and cardboard, construction and tire manufacturing. In 2018, Trinseo generated revenues totalling USD 4.6 billion, operated 16 production plants worldwide and had around 2,500 employees. Dow produces high-performance materials, industrial intermediates and plastics. It has 113 production plants in 31 countries worldwide and has been operating in Germany for more than 50 years.

Die internationale Anwaltssozietät Clifford Chance hat die Trinseo S.A. beim Erwerb einer Anlage zur Herstellung von Acrylat-Latex im Chemiepark Rheinmünster beraten. Verkäufer ist das US-amerikanische Unternehmen The Dow Chemical Company. Zusätzlich zur Produktionsstätte will Trinseo von Dow auch den Betrieb des Chemieparks mit zentralen Standortservices wie Energieversorgung und Instandhaltung übernehmen.
Der Vollzug der Transaktion wird für die zweite Jahreshälfte erwartet und steht unter Vorbehalt regulatorischer Genehmigungen sowie weiterer üblicher Bedingungen.
Derzeit werden im Chemiepark Rheinmünster Latexprodukte in zwei Anlagen hergestellt: Die Produktion von Latex auf Basis der Ausgangsstoffe Styrol und Butadien (S/B-Latex) befindet sich bereits seit 2010 im Besitz von Trinseo, während die Anlage zur Herstellung von Acrylat-Latex (A-Latex) bisher von Dow betrieben wird. S/B-Latex findet vorwiegend Einsatz in der Papierherstellung und A-Latex bildet einen wichtigen Bestandteil bei der Produktion von Farben und Klebstoffen.
Trinseo ist ein globaler Anbieter von Materiallösungen und Hersteller von Kunststoffen, Latexbindemitteln und Synthesekautschuk. Die Produkte finden Anwendung in den Branchen Automobil, Unterhaltungselektronik- und Haushaltsgeräte, Medizintechnik, Beleuchtung, Elektronik, Teppiche, Papier und Karton, Bauwesen und Reifenherstellung. Trinseo verzeichnete 2018 einen Umsatz von 4,6 Milliarden US-Dollar, unterhielt weltweit 16 Fertigungsanlagen und beschäftigte etwa 2.500 Mitarbeiterinnen und Mitarbeiter. Dow stellt Hochleistungswerkstoffe, industrielle Zwischenprodukte und Kunststoffe her. Weltweit betreibt Dow 113 Produktionsstätten in 31 Ländern. In Deutschland ist Dow seit über 50 Jahren aktiv.
