Clifford Chance advises AccorHotels on liability management operations including the cash tender offers for existing bonds and the issuance of new hybrid and senior bonds

In January and February 2019, Clifford Chance advised AccorHotels on liability management operations including the cash tender offers for existing bonds and the issuance of hybrid and senior bonds in parallel in a total amount exceeding €1,000,000,000. The details of the transactions are as follows:

• The repurchase by AccorHotels of €386,000,000 (undated 6 year non-call deeply subordinated fixed to reset rate) hybrid bonds issued on 30 June 2014 (redeemable from June 2020), with BNP Paribas and Citigroup Global Markets Limited acting as Structuring Advisors and Dealers Managers and Banco Santander, S.A., Merrill Lynch International, MUFG Securities EMEA plc and NatWest Markets plc acting as Dealers Managers;

• The repurchase by Crédit Agricole Corporate and Investment Bank of €350,000,000 2.625% senior bonds of AccorHotels due 5 February 2021, with BNP Paribas and Crédit Agricole Corporate and Investment Bank acting as Structuring Advisors and Dealer Managers and Merrill Lynch International, Natixis and UniCredit Bank AG acting as Dealer Managers;

• The issuance by AccorHotels of €500,000,000 undated deeply subordinated fixed to reset rate NC 5.25 bonds, with BNP Paribas and Citigroup Global Markets Limited acting as coordinators and bookrunners and Banco Santander, S.A., Commerzbank Aktiengesellschaft, Crédit Agricole Corporate and Investment Bank, HSBC Bank plc, Merrill Lynch International, MUFG Securities EMEA plc and NatWest Markets plc acting as joint lead managers and bookrunners; and

• The issuance by AccorHotels of €600,000,000 1.750% senior bonds due 4 February 2026, with Crédit Agricole Corporate and Investment Bank and BNP Paribas acting as coordinators and bookrunners and Merrill Lynch International, ING Bank N.V. Belgian Branch, Natixis, Société Générale and UniCredit Bank AG acting as joint lead managers and bookrunners.

As a result of these transactions, AccorHotels has extended the average maturity of its debt by more than one year, while optimising its average cost of funding and maintaining the total amount of hybrid and senior bonds outstanding at the current level.

En janvier et février 2019, le cabinet d'avocats d'affaires international Clifford Chance a conseillé AccorHotels dans le cadre de deux opérations de rachat et nouvelles émissions hybrides et senior menées en parallèle et aboutissant à l'émission de plus d'un milliard d'euros de dette. Les détails de ces opérations figurent ci-après :

• Le rachat par AccorHotels de 386 millions d'euros de la souche hybride d'AccorHotels (obligations super subordonnées à durée indéterminée remboursables à partir de juin 2020, portant intérêt au taux fixe puis au taux variable "reset", d'un montant d'EUR 900 millions, émises le 30 juin 2014), avec BNP Paribas et Citigroup Global Markets Limited en qualité de Structuring Advisors et Dealers Managers et Banco Santander, S.A., Merrill Lynch International, MUFG Securities EMEA plc et NatWest Markets plc en qualité de Dealers Managers ;

• Le rachat par Crédit Agricole Corporate and Investment Bank de 350 millions d'euros de la souche senior d'AccorHotels (obligations portant intérêt au taux de 2,625% à échéance le 5 février 2021), avec BNP Paribas et Crédit Agricole Corporate and Investment Bank en qualité de Structuring Advisors et Dealer Managers et Merrill Lynch International, Natixis et UniCredit Bank AG en qualité de Dealer Managers ;

• L'émission par AccorHotels de 500 millions d'euros d'obligations super subordonnées à durée indéterminée, portant intérêt au taux fixe de 4,375% puis au taux variable "reset", avec une première date de remboursement au gré d'AccorHotels en avril 2024, avec BNP Paribas et Citigroup Global Markets Limited en qualité de coordinateurs et teneurs de livre et Banco Santander, S.A., Commerzbank Aktiengesellschaft, Crédit Agricole Corporate and Investment Bank, HSBC Bank plc, Merrill Lynch International, MUFG Securities EMEA plc et NatWest Markets plc en qualité de chefs de file associés et teneurs de livre ; et

• L'émission par AccorHotels de 600 millions d'euros d'obligations senior au taux fixe de 1,750% (à échéance en 2026), avec Crédit Agricole Corporate and Investment Bank et BNP Paribas en qualité de coordinateurs et teneurs de livre et Merrill Lynch International, ING Bank N.V. Belgian Branch, Natixis, Société Générale et UniCredit Bank AG en qualité de chefs de file associés et teneurs de livre.

Avec ces opérations, AccorHotels étend la maturité moyenne de sa dette de plus d'une année, tout en optimisant son coût moyen et maintenant le montant total en circulation de ses obligations hybrides et senior au niveau actuel.
