Clifford Chance advises the Government of the Sultanate of Oman on its largest ever debt capital markets issuance

International law firm Clifford Chance has advised the Government of the Sultanate of Oman on its return to the international debt capital markets in 2017 with a US$5 billion triple tranche offering (US$1 billion 3.875% notes due 2022, US$2 billion 5.375% notes due 2027 and US$2 billion 6.5% notes due 2047). The transaction settled on 8 March 2017 and marks the largest ever issuance by the Sultanate. The proceeds from the debt-raising enable the Sultanate to meet a significant portion of its expected funding needs for this year. The bonds were offered and sold in reliance on Rule 144A and Regulation S and were admitted to trading on the Irish Stock Exchange.

This issuance follows a total of US$4.5 billion bond and sukuk offerings by the Sultanate issued in 2016, which Clifford Chance also advised on. These issuances included a 5-year (US$1 billion 3.625% notes due 2021) and 10-year (US$1.5 billion 4.750% notes due 2026) dual-tranche issuance, issued on 15 June 2016, as well as a tap issuance which settled on 4 October 2016, adding US$500 million to the 5-year notes and US$1 billion to the 10-year notes. This was the Sultanate's first international debt capital markets issuance since 1997. Clifford Chance also acted on the Sultanate's US$500 million sukuk, which was privately placed and settled on 14 July 2016.

The Clifford Chance team was led on English law matters through its UAE offices by partner Stuart Ure and senior associate Rafé Khokhar, and on US law matters through its Paris office by US partner Alex Bafi, supported by US senior associate Olivier Plessis and US associate Ryan Bosch. Al Busaidy Mansoor Jamal & Co (AMJ) advised the Sultanate on the Omani law aspects of the transaction.

The March 2017 issuance was coordinated by a lead manager group comprised of Bank Muscat, Citi, Deutsche Bank, HSBC, ICBC Standard, J.P. Morgan, Société Générale and Standard Chartered Bank.

Clifford Chance a conseillé le gouvernement du Sultanat d'Oman pour son retour sur les marchés internationaux de capitaux de dettes en 2017 avec une émission d'un montant de 5 milliards de dollars américains composée de trois tranches (1 milliard de dollars portant intérêt au taux de 3,875% et venant à échéance en 2022, 2 milliards de dollars portant intérêt au taux de 5,375% venant à échéance en 2027 et 2 milliards de dollars portant intérêt au taux de 6,5% venant à échéance en 2047). Le règlement/livraison de cette transaction a eu lieu le 8 mars 2017 et celle-ci constitue l'émission de titres de dettes la plus importante jamais réalisée par le Sultanat. Le produit de la levée de fonds obligataires permet au Sultanat de combler une partie importante de ses besoins de financement attendus pour cette année. Les obligations ont été offertes et vendues en application de la règle 144A et du règlement S et ont été admises aux négociations sur la Bourse irlandaise.

Cette transaction fait suite aux émissions d'obligations et de sukuks pour un montant total de 4,5 milliards de dollars américains réalisées en 2016 par le Sultanat, sur lesquelles Clifford Chance était également intervenu en qualité de conseil. Ces émissions comprenaient une émission à deux tranches à maturité cinq ans (1 milliard de dollars américains portant intérêt à un taux de 3,625% et venant à échéance en 2021) et dix ans (1,5 milliard de dollars américains portant intérêt à un taux de 4,750% et venant à échéance en 2026) réalisée le 15 juin 2016, ainsi qu'une émission assimilable réalisée le 4 octobre 2016, ajoutant 500 millions de dollars à la tranche à maturité cinq ans et 1 milliard de dollars américains à la tranche à maturité dix ans. Il s'agissait de la première émission de dette internationale du Sultanat depuis 1997. Clifford Chance a également conseillé le Sultanat sur son placement privé de sukuks d'un montant de 500 millions de dollars américains dont le règlement/livraison a eu lieu le 14 juillet 2016.
