Clifford Chance advises Goldman Sachs on the financing of Amplifon's acquisition of GN Hearing
Global law firm Clifford Chance has advised Goldman Sachs as mandated lead arranger, underwriter and bookrunner on the €1.8 billion financing of Amplifon's aquisition of GN Hearing from GN Store Nord A/S, valuing GN Hearing at approximately €2.3 billion on a cash-free, debt-free basis. The transaction brings together two global leaders in hearing health solutions, combining GN Hearing’s product innovation with Amplifon’s hearing care expertise.
Under the terms of the agreement, GN will receive €1.69 billion in cash and 56 million Amplifon shares, making GN Store Nord a strategic partner of Amplifon. The transaction is expected to close by the end of 2026 subject to customary closing conditions, including regulatory approvals and the carve-out of GN Hearing from the GN Group.
The new group, with combined revenues of approximately €3.3 billion and a presence in over 100 countries, will form a global powerhouse uniquely positioned to accelerate innovation, deliver superior patient experience and expand access to hearing care.

Die globale Anwaltskanzlei Clifford Chance hat Goldman Sachs als federführender Lead Arranger, Underwriter und Bookrunner bei der Finanzierung der Übernahme von GN Hearing durch Amplifon von GN Store Nord A/S in Höhe von €1,8 Milliarden beraten, wobei GN Hearing auf einer cash-free- und debt-free-Basis mit rund €2,3 Milliarden bewertet wurde.
Gemäß den Vertragsbedingungen erhält GN €1,69 Milliarden in bar sowie 56 Millionen Amplifon-Aktien und wird damit zu einem strategischen Partner von Amplifon. Der Abschluss der Transaktion wird, vorbehaltlich der üblichen Abschlussbedingungen einschließlich behördlicher Genehmigungen und der Ausgliederung von GN Hearing aus der GN-Gruppe, bis Ende 2026 erwartet.
