Global law firm Clifford Chance has advised amedes Medizinische Dienstleistungen GmbH ("amedes") and the investor consortium comprising OMERS Infrastructure, Goldman Sachs Asset Management and AXA IM Alts on shareholder matters relating to amedes' acquisition of MVZ Laaff GmbH.
MVZ Laaff GmbH operates medical laboratories at the Freiburg, Heilbronn and Ulm locations with a focus on dermatopathology, general pathology, immunohistology, molecular pathology and cytology. MVZ Laaff GmbH was founded in 1992 by Prof. Dr. Helmut Laaff as Institute for Dermatohistology Pathology Molecular Pathology.
amedes is a leading German laboratory service provider and operates various medical care centers with different specialist areas across Germany. Work in the medical care centers focusses, among other things, on the areas of laboratory medicine, human genetics, cytology, pathology, gynecology, reproductive medicine and endocrinology. With the acquisition of MVZ Laaff GmbH, amedes intends to strategically strengthen and expand its laboratory services in Baden-Württemberg. The transaction closed in February.

Die MVZ Laaff GmbH betreibt an den Standorten Freiburg, Heilbronn und Ulm medizinische Labore mit den Schwerpunkten auf Dermatopathologie, allgemeine Pathologie, Immunhistologie, Molekularpathologie sowie Zytologie. Die MVZ Laaff GmbH ist aus dem 1992 von Prof. Dr. Helmut Laaff gegründeten Institut für Dermatohistologie Pathologie Molekularpathologie hervorgegangen.
amedes ist ein führender deutscher Labordienstleister und betreibt deutschlandweit verschiedene Medizinische Versorgungszentren mit unterschiedlichen Fachausrichtungen. Die Schwerpunkte der ärztlichen Tätigkeit in den Medizinischen Versorgungszentren liegen u.a. in den Bereichen Laboratoriumsmedizin, Humangenetik, Zytologie, Pathologie, Gynäkologie, Reproduktionsmedizin und Endokrinologie. Mit dem Erwerb der MVZ Laaff GmbH beabsichtigt amedes, seine Labordienstleistungen in Baden-Württemberg strategisch zu stärken und auszubauen. Die Transaktion wurde im Februar vollzogen.
