Clifford Chance advises banks on the Towers Group spin-off from Telekom Austria Group
International law firm Clifford Chance has advised Citigroup Global Markets Europe AG and Erste Group Bank AG on the spin-off of EuroTeleSites AG from Telekom Austria Aktiengesellschaft and on the admission of 166,125,000 shares of EuroTeleSites AG to trading in the Official Market of the Vienna Stock Exchange in the "Prime Market" segment. Clifford Chance also advised on a bond and syndicate banks on a term loan facility put in place in connection with the spin-off.
With the listing of the shares on the Vienna Stock Exchange, the spin-off of EuroTeleSites AG from Telekom Austria Aktiengesellschaft was successfully completed today. The shares of EuroTeleSites AG were allocated to the shareholders of Telekom Austria AG.
EuroTeleSites AG is the parent company of the EuroTeleSites Group, which is a leading European mobile telecommunications tower infrastructure operator with more than 13,200 sites. The Group is operating across six markets in Austria, Croatia, Serbia, Slovenia, Bulgaria and North Macedonia.
In connection with the spin-off, Clifford Chance also advised a banking syndicate led by Citigroup, Santander and UniCredit on the issuance of a €500 million cross-over bond in July 2023 and a banking syndicate on a new €500 million term loan facility agreement. The bond and credit facilities structure has been set up to be ported to the spin-off group after the effectiveness of the spin-off including the porting of the guarantees for the instruments.

Clifford Chance berät Banken bei der Abspaltung der Towers Group von der Telekom Austria Group
Die internationale Anwaltskanzlei Clifford Chance hat die Citigroup Global Markets Europe AG und die Erste Group Bank AG bei der Abspaltung der EuroTeleSites AG von der Telekom Austria Aktiengesellschaft und der Zulassung der 166.125.000 Aktien der EuroTeleSites AG zum amtlichen Handel der Wiener Börse im Segment "Prime Market" beraten. Clifford Chance beriet auch bei einer Anleihe und einem Bankenkonsortium für eine Kreditfazilität, die im Zusammenhang mit der Abspaltung eingerichtet wurde.
Mit der Notierung der Aktien an der Wiener Börse wurde heute die Abspaltung der EuroTeleSites AG von der Telekom Austria Aktiengesellschaft erfolgreich abgeschlossen. Die Aktien der EuroTeleSites AG wurden den Aktionären der Telekom Austria AG zugeteilt.
Die EuroTeleSites AG ist die Muttergesellschaft der EuroTeleSites-Gruppe, die mit mehr als 13.200 Standorten ein führender europäischer Betreiber von Mobilfunkmasten ist. Die Gruppe ist in sechs Märkten in Österreich, Kroatien, Serbien, Slowenien, Bulgarien und Nordmazedonien tätig.
Im Zusammenhang mit der Abspaltung beriet Clifford Chance auch ein Bankenkonsortium unter der Führung von Citigroup, Santander und UniCredit bei der Emission einer €500 Millionen Anleihe im Juli 2023 und ein Bankenkonsortium bei einem neuen Kreditvertrag über ebenfalls €500 Millionen. Die Struktur der Anleihe und der Kreditfazilitäten wurde so gestaltet, dass sie nach Wirksamwerden der Abspaltung auf die abgespaltene Gruppe übertragen werden kann, einschließlich der entsprechenden Garantien für die dazugehörigen Instrumente.
