Clifford Chance advises the Government of the Republic of Namibia on pioneering US$10bn agreement to develop sub-Saharan Africa’s largest green hydrogen project
International law firm Clifford Chance has advised the Government of the Republic of Namibia (GRN) on the entry into an agreement with Hyphen Hydrogen Energy, a Namibian green hydrogen development company, to govern the development, implementation and operation of sub-Saharan Africa’s largest, and its only fully vertically integrated, green hydrogen project.
The total project capital investment of US$10 billion is roughly equivalent to the country’s annual GDP. At full scale development, anticipated before the end of the decade, the project will produce 2 million tonnes of green ammonia annually for regional and global markets.
The pioneering Feasibility and Implementation Agreement (FIA) was signed on 26 May 2023 and governs the process under which Namibia’s first green hydrogen project will be realised, as a first step in the implementation of Namibia's broader green hydrogen strategy. The approval of the FIA will empower the country to build a greener, more resilient future for generations to come.
At the heart of the FIA is the commitment to the socio-economic development of Namibia, through job creation and local procurement. The project will generate significant income to the Namibian fiscus. GRN also has an opportunity to be a co-investor in the project with the right to take up to a 24% equity interest at cost.
The Government of the Republic of Namibia was on this landmark transaction supported by the African Legal Support Facility, an international organisation hosted by the African Development Bank Group.

Clifford Chance berät Regierung der Republik Namibia bei innovativer Vereinbarung zur Entwicklung des größten grünen Wasserstoffprojekts mit einem Volumen von US$10 Milliarden in Subsahara-Afrika
Die internationale Anwaltssozietät Clifford Chance hat die Regierung der Republik Namibia beim Abschluss einer Vereinbarung mit Hyphen Hydrogen Energy, einem namibischen Unternehmen zur Entwicklung von grünen Wasserstoff-Projekten, beraten. Die Vereinbarung regelt die Entwicklung, Umsetzung und den Betrieb des größten und einzigen vollständig vertikal integrierten grünen Wasserstoffprojekts in Afrika südlich der Sahara.
Die Gesamtinvestitionen des Projekts in Höhe von 10 Milliarden US-Dollar entsprechen ungefähr dem jährlichen BIP des Landes. Im Vollbetrieb, der noch vor Ende des Jahrzehnts erwartet wird, wird das Projekt jährlich 2 Millionen Tonnen grünes Ammoniak für regionale und globale Märkte produzieren.
Das innovative Feasibility and Implementation Agreement (FIA) wurde am 26. Mai 2023 unterzeichnet und regelt den Prozess, in dessen Rahmen Namibias erstes grünes Wasserstoffprojekt als ein erster Schritt der Umsetzung von Namibias grüner Wasserstoffstrategie realisiert werden soll. Die Genehmigung des Feasibility and Implementation Agreement wird das Land in die Lage versetzen, eine grünere und widerstandsfähigere Zukunft für kommende Generationen zu schaffen.
Im Fokus des Feasibility and Implementation Agreement steht die sozioökonomische Entwicklung Namibias durch die Schaffung von Arbeitsplätzen und lokale Beschaffung. Das Projekt wird dem namibischen Fiskus erhebliche Einnahmen bescheren. Die Regierung der Republik Namibia hat auch die Möglichkeit, sich als Co-Investor an dem Projekt zu beteiligen, indem sie eine Beteiligung von bis zu 24% auf Kostenbasis übernehmen kann.
Die Regierung der Republik Namibia wurde bei dieser bahnbrechenden Transaktion von der African Legal Support Facility unterstützt, einer internationalen Organisation, die von der Afrikanischen Entwicklungsbankgruppe organisiert wird.
