Clifford Chance advises the lenders on the financing of the first IPP in Chad

Clifford Chance advised the lenders - African Development Bank, Société de Promotion et de Participation pour la Coopération Economique and The Emerging Africa Infrastructure Fund Limited - a Private Infrastructure Development Group (PIDG) company - managed by Ninety-One on the financing of phase 1 of a greenfield solar photovoltaic plant with a total capacity of approximately 34 MWp to be located 30 kilometers north of N'Djamena, the capital of Chad.

The Project Company is Djermaya CDEN Energy S.A.S a company incorporated under Chadian law and is owned by Djermaya Holding Limited, DIPF Africa Limited and PIDG company InfraCo Africa Limited.

Under the terms of the financing agreements, lenders are providing circa €36.6 million, corresponding to 67,5% of the total Project cost estimated at €53,3 million.

Each of the EU Africa Infrastructure Trust Fund and the PIDG Technical Assistance are also granting a concessionary loan and funding of respectively €6.35 million and $1.5 million, for a total aggregate amount of circa €7.6 million.

The Djermaya solar plant will be the first Independent Power Producers (IPP) in Chad. The operation also comprises the development and construction of a transmission line and a 4MWh battery energy storage system.

The deal features a PRG Guarantee from the African Development Fund, and a put-call option agreement entered into the Project Company and the Chadian State.

This Project demonstrates Clifford Chance's commitment to working alongside its clients on much needed renewable energy projects in Africa.

Clifford Chance a conseillé les prêteurs – la Banque Africaine de Développement, la Société de Promotion et de Participation pour la Coopération Economique et Emerging Africa Infrastructure Fund Limited – membre du groupe Private Infrastructure Development Group (PIDG) – gérée par Ninety-One sur le financement de la phase 1 de la construction d'une centrale solaire photovoltaïque dont la capacité totale avoisine 34 MWp et qui sera située à 30 kilomètres au nord de N’Djamena, la capitale du Tchad.

La Société de Projet est Djermaya CDEN Energy S.A.S., une société de droit tchadien, détenue par Djermaya Holding Limited, DIPF Africa Limited et InfraCo Africa Limited, membre du groupe PIDG.

Selon les termes des accords de financement, les prêteurs apportent environ 36,6 millions d'euros, ce qui correspond à 67,5% du coût total du Projet, estimé à 53,3 millions d'euros.

EU Africa Infrastructure Trust Fund et PIDG Technical Assistance accordent par ailleurs chacun un financement concessionnel de respectivement 6,35 millions d'euros et 1,5 millions de dollars, pour un montant total d'environ 7,6 millions d'euros.

La centrale solaire de Djermaya sera le premier projet indépendant d'électricité au Tchad, la première centrale solaire au Tchad et la première infrastructure de stockage d’électricité du pays. Le projet comprend également le développement et la construction d'une ligne de transmission et d'un système de batteries de stockage d'énergie de 4 MWh.

L'opération est assortie d'une garantie partielle de risques octroyée par le Fond Africain de Développement (FAD), administré par la Banque Africaine de Développement, ainsi qu'un accord de promesses de vente et d'achat conclu entre la Société de Projet et l'Etat Tchadien.

Ce Projet témoigne de l'engagement de Clifford Chance d'accompagner ses clients sur des projets d'énergie renouvelable de première nécessité en Afrique.
