Clifford Chance advises Sanity Group on the largest ever European series A round for cannabis-based products

Clifford Chance has advised the Berlin-based start-up Sanity Group GmbH on its successful series A round. The Firm's advisory services focused in particular on product strategies and regulated market issues. Clifford Chance had already advised the health and life sciences company, which specialises in cannabinoids and natural active ingredients, on making its entry into the liberalised European market for cannabis-based products.

The series A round is worth around EUR 35 million and involved existing shareholders and new investment from Swiss venture capital firm Redalpine and US-based Navy Capital and SOJE Capital. GMPVC (Germany) also participated. This represents a total investment in Sanity Group of EUR 60 million across the seed phase and the pre-series A and series A rounds.

Sanity Group's existing investors include HV Capital, TQ Ventures, Atlantic Food Labs, Cherry Ventures, Calyx, Bitburger Ventures and SevenVentures. It has also managed to attract a number of celebrity angel investors including music producer Will.I.Am, German TV presenter Klaas Heufer-Umlauf, football player Mario Götze, ex-football player André Schürrle and model Stefanie Giesinger.

Sanity Group aims to improve quality of life through the use of cannabinoids. In addition to developing and marketing pharmaceuticals, it also focuses on wellbeing and cosmetic products. The new capital will be used primarily to further expand the Group's medical division in Europe. Funds will also be channelled into R&D, including the creation of an EU-GMP-compliant cannabis extract research and production facility near Frankfurt. There are also plans to expand the consumer goods division.

Clifford Chance had previously advised Sanity Group on its entry into the liberalised European market for cannabis-based products. The Firm's market-leading Healthcare & Life Science practice also provides outstanding regulatory advice on cannabis and cannabis-based products. This was one of the reasons for Clifford Chance winning the JUVE Award for Law Firm of the Year for Regulated Industries in 2020.

The Clifford Chance team advising Sanity Group was led by a German team around partner Gunnar Sachs and associate Ann-Cathrin Bergstedt (both Corporate/Healthcare, Düsseldorf) and included further lawyers from the Clifford Chance offices in London, Paris, Milan, Madrid and Luxembourg as well as colleagues from local counsel firms in the Netherlands and Austria.

Die internationale Anwaltssozietät Clifford Chance hat das Berliner Start-up Sanity Group GmbH bei dessen erfolgreicher Series-A-Finanzierungsrunde mit Blick auf Produktstrategien und das regulierte Marktumfeld rechtlich beraten. Zuvor hatte Clifford Chance das Health- und Lifescience-Unternehmen mit Schwerpunkt Cannabinoide und Naturwirkstoffe bereits beim Einstieg in den liberalisierten europäischen Markt für Cannabis-basierte Produkte begleitet.

An der abgeschlossenen Series A-Runde im Volumen von rund 35 Millionen Euro beteiligten sich neben bestehenden Gesellschaftern auch die Neuinvestoren Redalpine, die beiden US-Kapitalgeber Navy Capital und SOJE Capital sowie GMPVC. Das Gesamtinvestment in die Sanity Group aus Seed-Phase, Pre-Series-A und Series-A steigt damit auf über 60 Millionen Euro.

Zu den bisherigen Kapitalgebern bei Sanity Group gehören HV Capital, TQ Ventures, Atlantic Food Labs, Cherry Ventures, Calyx, Bitburger Ventures und SevenVentures. Zudem konnte das Unternehmen prominente Business Angels wie Musikproduzent Will.I.Am, TV-Moderator Klaas Heufer-Umlauf, Fußballprofi Mario Götze, Ex-Profi André Schürrle und Topmodel Stefanie Giesinger als Unterstützer gewinnen.

Sanity Group fokussiert ihr Geschäft auf die Entwicklung und Vermarktung von Arzneimitteln sowie Wellbeing- und Kosmetikprodukten auf Cannabinoidbasis. Mit dem neuen Kapital will die Gruppe vor allem ihren medizinischen Geschäftsbereich ausbauen und dabei auch in Europa expandieren. Außerdem soll der Bereich Forschung und Entwicklung verstärkt werden. Unter anderem wird dazu bei Frankfurt eine EU-GMP-konforme Forschungs- und Produktionsanlage für Cannabis-Extrakte ‘Made in Germany’ aufgebaut. Schließlich soll mit den neuen Investments auch der Bereich Consumer Goods ausgebaut werden.

Zuvor hatte Clifford Chance Sanity Group bereits beim Einstieg in den liberalisierten europäischen Markt für Cannabis-basierte Produkte beraten. Die Sozietät bietet in ihrer marktführenden Healthcare & Life Science-Praxis auch herausragende Expertise in der regulatorischen Beratung zu Cannabis und Cannabis-basierten Produkten. Ebenfalls 2020 wurde Clifford Chance von dem Marktbeobachter JUVE unter anderem wegen dieses besonderen Knowhows als Kanzlei des Jahres für Regulierte Industrien ausgezeichnet.
