Clifford Chance advises on the financing of the largest biomass power plant with grid injection in West Africa

The international law firm Clifford Chance acted as adviser to Biovéa Energie S.A. (and its shareholders EDF, Meridiam and Biokala) on the structuring and financing of the Biovéa Project located in the town of Aboisso, 100 km east of Abidjan, in Côte d'Ivoire. Biovéa will be the largest power plant in West Africa powered by agricultural waste and will meet the renewable electricity needs of the equivalent of 1.7 million people per year. Under the terms of the financing agreements, Proparco and EAIF are providing €165 million in debt and €13 million in grants, corresponding to 77% of the total Project cost estimated at €232 million.

The funding was granted to Biovéa Energie S.A., which is responsible for the design, construction, operation and transfer to the Ivorian State of the 46MW biomass plant over a period of 25 years of operation. Biovéa Energie S.A. is a company incorporated under Ivorian law and is owned by EDF, Meridiam and Biokala (a joint venture set up by Meridiam and SIFCA, a major agro-industrial player in West Africa).

EAIF - a Private Infrastructure Development Group (PIDG) company - is managed by Ninety-One. EAIF is contributing to the Project with a loan of €30 million and the PIDG is providing an investment grant of €8 million. Proparco provides financing on preferential terms consisting of a concessional loan of €135 million and a grant of €5 million.

The biomass plant will be powered from approximately 450,000 tons of waste from the local palm farms, made available by PalmCi, a subsidiary of SIFCA. The Project will create 500 local jobs during the construction phase of the plant and more than 1,000 direct full-time equivalent jobs during the operation phase. The biomass supplied by small planters is expected to generate up to 20% increase in their income. 12,000 village planters will be part of the company's supply chain. Finally, it is estimated that the Biovéa Project will permit, during the operational phase, to avoid the emission of around 340,000 tons of CO2 equivalent per year.

Le cabinet d’avocats d'affaires Clifford Chance est intervenu comme conseil de la société Biovéa Energie S.A. (et ses actionnaires EDF, Meridiam et Biokala) dans le cadre de la structuration et du financement du Projet Biovéa dans la commune d'Aboisso, à 100 km à l'Est d'Abidjan, en Côte d'Ivoire. Biovéa sera la plus grande centrale d'Afrique de l’Ouest, alimentée à partir de déchets agricoles et répondra aux besoins en électricité renouvelable de l'équivalent de 1,7 million de personnes par an. Aux termes des accords financiers, Proparco et EAIF apportent un financement de 165 M€ de dette et 13 M€ de subvention, correspondant à 77 % du coût complet du Projet estimé à 232 M€.

Les financements ont été accordés à Biovéa Energie S.A., qui assure, sur une période de 25 ans d’exploitation, la conception, la construction, l'exploitation et le transfert à l’État Ivoirien de la centrale biomasse d’une puissance de 46MW. Biovéa Energie S.A. est une société de droit ivoirien détenue par EDF, Meridiam et Biokala (une joint-venture créée par Meridiam et SIFCA, acteur agro-industriel majeur en Afrique de l'Ouest).

EAIF - une société du Private Infrastructure Development Group (PIDG) - est gérée par Ninety-One. EAIF contribue au projet via un prêt de 30 M€ et le PIDG octroie une subvention d’investissement de 8 M€. Proparco accorde un financement à des conditions préférentielles constitué d’un prêt concessionnel de 135 M€ et une subvention d’investissement de 5 M€.

La centrale biomasse sera alimentée par environ 450 000 tonnes de déchets issus de l’exploitation agricole locale de palmiers, mis à disposition par PalmCi, une filiale de SIFCA. Le projet contribuera à créer 500 emplois locaux pendant la phase de construction de la centrale et plus de 1 000 emplois ou équivalent temps plein durant la phase d'exploitation. La biomasse fournie par les petits planteurs devrait générer jusqu'à 20 % d'augmentation de leurs revenus. 12 000 planteurs villageois feront partie de la chaîne d'approvisionnement de l'entreprise. On estime enfin que le Projet Biovéa permettra, en phase opérationnelle, d'éviter l'émission d'environ 340 000 tonnes d'équivalent CO2 par an.
