Clifford Chance advises Assa Abloy on acquisition of LUX-IDent

Clifford Chance advised HID Global, a subsidiary of Swedish engineering and technology giant Assa Abloy, on the acquisition of LUX-IDent, a leading provider of radio frequency identification (RFID) components based in the Czech Republic. The acquisition extends HID’s market leadership in RFID technology and strengthens its presence in Central and Eastern Europe.

LUX-IDent designs and manufactures RFID components such as inlays, prelaminates, smart labels, wristbands, key fobs, glass transponders and other products. The company’s primary customers include smart card manufacturers, OEMs and system integrators.

HID Global is a worldwide leader in trusted identity solutions and with the expanded RFID components portfolio HID will be able to address the large IoT spectrum with new capabilities in RFID component design and flexible manufacturing.

The acquisition is subject to regulatory approval and customary closing conditions, with the transaction expected to close in Q4 2019.

The transaction team was led by M&A Counsel Michal Jašek who was primarily assisted by Associate Jakub Veselý. Counsel Dimitri Slobodenjuk led the German team which advised on Antitrust aspects. Alex Cook, the Prague office's Managing Partner and Co-Head of the Corporate practice supervised the Clifford Chance team.
