Clifford Chance advises HeidelbergCement in the sale of a minority stake in Ciments du Maroc
Clifford Chance advised HeidelbergCement, one of the world's largest integrated manufacturers of building materials, in connection with the sale of a minority stake in the share capital of Ciments du Maroc. HeidelbergCement sold 7.8% of the share capital of Ciments du Maroc for an aggregate amount of approximately €140 million, as part of its action plan to improve cash generation. The shares were sold to certain Moroccan institutional investors.
Following this transaction, HeidelbergCement will retain a controlling stake of 54.6% in Ciments du Maroc and continue to fully consolidate the company.
This transaction is one of the largest transactions on the Casablanca stock exchange in the last years.
The Clifford Chance team that advised HeidelbergCement in this transaction was led by Mustapha Mourahib, Managing Partner, assisted by Nathalie Zanardo, Senior Associate.

Clifford Chance a conseillé HeidelbergCement, l'un des plus grands fabricants de matériaux de construction intégrés mondiaux, dans le cadre de la cession d'une participation minoritaire dans Ciments du Maroc. HeidelbergCement a cédé 7,8% du capital de Ciments du Maroc pour un montant total d'environ 140 millions d'euros (1.495 millions de dirhams), dans le cadre de son plan d'action pour améliorer la génération de cash. Les titres ont été cédés à des investisseurs institutionnels marocains.
A la suite de cette opération, HeidelbergCement conserve une participation majoritaire consolidante de 54,6% dans Ciments du Maroc.
Cette opération constitue une des plus grosses opérations boursières sur la Bourse de Casablanca des dernières années.
