Clifford Chance advises the Lenders on the 1.2 billion Euro Nachtigal 420MW hydro project in Cameroon, the largest hydro IPP in Africa

Leading international law firm Clifford Chance has advised 15 lenders - 11 development finance institutions (AfDB, AFC, AFD, CDC, DEG, EAIF, EIB, FMO, IFC, OFID and Proparco) and 4 local commercial banks (BICEC, SCB Cameroon, Société Générale Cameroun and Standard Chartered Bank Cameroon) - on the financing of a 420-MW hydropower project on the Sanaga river near the Nachtigal Falls, located 65 km to the north-east of Yaoundé, Cameroon for a total project cost of 1.2 billion Euros.

Nachtigal is the largest hydro IPP planned in Africa and, when operational, will contribute 30 percent of Cameroon's total electricity generation capacity. The project is being developed by NHPC (Nachtigal Hydro Power Company), currently owned by EDF (40%), IFC (30%) and the Republic of Cameroon (30%).

The project also benefits from Political Risk Guarantees (PRG) for a total of 257 million and 192 million, respectively provided by the International Bank for Reconstruction and Development (IBRD) and Multilateral Investment Guarantee Agency (MIGA).

Nachtigal is part of the Cameroon government's plans to improve energy security by diversifying its energy mix and enhancing the use of renewable energy to meet the country's rapidly increasing energy demand.

Clifford Chance advised on the project, construction and finance documentation as well as on the Political Risk Guarantees. The team was led by Delphine Siino Courtin, Partner. Delphine was supported by Senior Associate Corinne Duvnjak and Associate Hugues Martin-Sisteron. Fabien Jacquemard, Counsel, advised on the hedging documents.

Clifford Chance a conseillé 15 prêteurs – 11 institutions financières de développement (AFC, AFD, BAD, BEI, CDC, DEG, EAIF, FMO, OFID, Proparco et SFI) ainsi que 4 banques commerciales locales (BICEC, SCB Cameroun, Société Générale Cameroun et Standard Chartered Bank Cameroun) – sur le financement d'un projet hydroélectrique d'une puissance de 420 MW situé sur le fleuve Sanaga à proximité des chutes de Nachtigal, à 65 km au nord-est de Yaoundé au Cameroun, pour un coût total de 1,2 milliard d'euros.

Nachtigal est le plus grand projet de production indépendante d'hydroélectricité prévu en Afrique et, une fois en service, il contribuera à hauteur de 30% à la production totale d'électricité du Cameroun. Le projet est développé par NHPC (Nachtigal Hydro Power Company), détenue actuellement par EDF (40%), la SFI (30%) et la République du Cameroun (30%).

Le projet est couvert par des Garanties contre les risques politiques (PRG) pour un total de 257 millions et 192 millions, fournis respectivement par la Banque internationale pour la reconstruction et le développement (BIRD) et l'Agence multilatérale de garantie des investissements (MIGA).

Nachtigal fait partie du plan du gouvernement camerounais d'améliorer l'indépendance énergétique en diversifiant les sources d'électricité et en promouvant les énergies renouvelables afin de subvenir à la demande croissante du pays en énergie.

Clifford Chance a conseillé les prêteurs sur les documents de projet, de construction et de financement, ainsi que sur les Garanties contre les risques politiques (PRG).
