Clifford Chance advises Triton portfolio company FläktGroup on sale of DELBAG to Hengst SE
International law firm Clifford Chance has advised FläktGroup, a portfolio company of Triton and market leader for ventilation solutions, on the sale of DELBAG, a specialist for air filtration, to Hengst SE. A corresponding contract was signed on 22 August 2018. The parties have agreed not to disclose the purchase price.
FläktGroup was formed in 2016 by the merger of FläktWoods with the portfolio company DencoHappel. We advised Triton on both the acquisition of FläktWoods and the subsequent merger with DencoHappel.
Today, FläktGroup is the European market leader for intelligent and energy-efficient solutions for indoor air and critical air functions that support all areas of application. Based in Herne, Germany, the group generated total sales of around € 700 million in 2017 and employs around 3,600 people at a total of 14 production sites and more than 50 agencies in Europe, Russia, the Middle East, North America, South Korea, Singapore and India.
For FläktGroup, the transaction means a realignment of its portfolio and an even stronger focus on customer needs in its core segments.
DELBAG belongs to FläktGroup and is one of the oldest air filtration companies and best known brands in this business field. With around 150 employees in Germany, France, the Czech Republic, Poland and Austria, the company generated sales of € 30 million in 2017.

Clifford Chance berät Triton-Portfoliogesellschaft FläktGroup bei Verkauf von DELBAG an Hengst SE
Die internationale Anwaltssozietät Clifford Chance hat die FläktGroup, eine Portfoliogesellschaft von Triton und Marktführer für Ventilationslösungen, bei der Veräußerung von DELBAG, einem Spezialisten für Luftfiltration, an die Hengst SE beraten. Ein entsprechender Vertrag wurde am 22. August 2018 unterzeichnet. Über den Kaufpreis haben die Parteien Stillschweigen vereinbart.
Die FläktGroup entstand 2016 aus dem Zusammenschluss von FläktWoods mit dem Portfoliounternehmen DencoHappel. Ein Clifford Chance-Team beriet bereits damals Triton sowohl beim Erwerb von FläktWoods als auch bei der anschließenden Zusammenführung mit DencoHappel.
Heute ist der Konzern europäischer Marktführer für intelligente und energieeffiziente Lösungen für Raumluft und kritische Luftfunktionen, die jeden Anwendungsbereich unterstützen. Der Konzern mit Sitz in Herne erwirtschaftete im Jahr 2017 einen Gesamtumsatz von rund 700 Millionen Euro und beschäftigt rund 3.600 Mitarbeiter an insgesamt 14 Produktionsstandorten und mehr als 50 Vertretungen in Europa, Russland, Nahost, Nordamerika, Südkorea, Singapur und Indien.
Für die FläktGroup bedeutet die Transaktion eine Neuausrichtung ihres Portfolios und eine noch stärkere Fokussierung auf die Kundenbedürfnisse in ihren Kernsegmenten.
DELBAG gehört bislang zur FläktGroup und ist eine der ältesten Luftfiltrationsfirmen und bekanntesten Marken in diesem Geschäftsfeld. Mit rund 150 Mitarbeitern in Deutschland, Frankreich, Tschechien, Polen und Österreich erwirtschaftete das Unternehmen 2017 einen Umsatz von 30 Millionen Euro.
