Clifford Chance advises Bremer Kreditbank AG on its acquisition of Wüstenrot Bank AG Pfandbriefbank
Bremer Kreditbank AG (BKB) is in the process of acquiring Wüstenrot Bank AG Pfandbriefbank from Wüstenrot & Württembergische AG (W&W). Clifford Chance has again advised BKB, both on the acquisition itself and on drafting issues for a wide-ranging marketing/sales collaboration with W&W.
This collaboration will allow the two institutions to offer both their own financial products and those marketed by the other bank, thereby increasing their sales potential. Wüstenrot Bank employs around 110 people and currently has total assets of around EUR 1.5 billion.
BKB acquired OLB, one of the largest regional banks in Germany, in June 2017. The vendor was Allianz Deutschland AG. At the same time, BKB made a takeover offer to the shareholders of OLB. Clifford Chance also advised BKB on this and on the subsequent capital increase.

Die Bremer Kreditbank AG (BKB) erwirbt die Wüstenrot Bank AG Pfandbriefbank von der Wüstenrot & Württembergische AG (W&W). Die internationale Anwaltssozietät Clifford Chance hat die BKB beim Erwerb sowie bei der Vertragsgestaltung einer umfangreichen Vertriebskooperation mit W&W erneut rechtlich beraten.
Durch die vereinbarte umfassende Zusammenarbeit können künftig wechselseitig Finanzprodukte zugeliefert und die Vertriebskraft beider Banken weiter gesteigert werden. Die Wüstenrot Bank bringt es mit rund 110 Stellen auf eine Bilanzsumme von derzeit rund 1,5 Milliarden Euro.
Im Juni 2017 hatte die BKB die OLB übernommen, eine der größten Regionalbanken des Landes. Verkäufer war die Allianz Deutschland AG. Parallel dazu hatte die BKB ein Übernahmeangebot an die Aktionäre der OLB abgegeben. Auch hier sowie bei der anschließenden Kapitalerhöhung hatte Clifford Chance die BKB begleitet.
