Clifford Chance advises banks on the refinancing of the acquisition of Cleanpart Group

Clifford Chance advised a bank syndicate led by HSH Nordbank AG as lenders on the refinancing of Deutsche Beteiligungs AG's purchase of a majority stake in Cleanpart Group. This involved the financing via a date credit line as well as a revolving working capital line. It was agreed not to disclose the volume of the refinancing.

Cleanpart Group belongs to the leading B2B providers for the semiconductor industry and related IT-industries with core competencies in chemical and surface engineering, coating as well as mechanical and process engineering. DBAG had acquired the majority stake in Cleanpart Group in March 2015.

The Clifford Chance team was led by partner Thomas Weitkamp (Munich) and comprised senior asscociate Matthias Töke und associate Christoph Nensa (both Frankfurt, all Banking & Capital Markets) as well as partner Dr. Kerstin Kopp (Corporate) and partner Thorsten Sauerhering (Tax), both Frankfurt. Die internationale Anwaltssozietät Clifford Chance hat ein Konsortium um die HSH Nordbank AG als finanzierende Banken bei der Refinanzierung des mehrheitlichen Erwerbs der Cleanpart Gruppe durch die Deutsche Beteiligungs AG beraten.

Gegenstand der Beratung war sowohl eine Finanzierung über eine Terminkreditlinie als auch eine revolvierende Betriebsmittellinie. Über die Höhe der Refinanzierung wurde Stillschweigen vereinbart.

Die Cleanpart Gruppe gehört zu den führenden B2B-Anbietern für die Halbleiterindustrie und verwandte Produktionszweige der IT-Industrie auf den Gebieten Chemietechnik, Oberflächentechnik und Beschichtung sowie Maschinenbau und Verfahrenstechnik. Die DBAG hatte sich im März 2015 mehrheitlich an der Cleanpart Gruppe beteiligt.
