Clifford Chance has advised Generali on the corporate reorganisation of its group in Spain and Portugal
Global law firm Clifford Chance has advised Generali on the corporate reorganisation of its group in Spain and Portugal following the acquisition of Liberty Seguros. The reorganisation was implemented, among other transactions, through the merger of its two insurance companies in Spain and a cross-border partial division of the Portuguese branch business of one of these companies in favour of Generali’s Portuguese insurer (Generali Tranquilidade).
Clifford Chance’s advice covered all legal and regulatory aspects of the reorganisation, including corporate steps and the relevant authorisation or non-opposition procedures before the competent regulatory authorities. The reorganisation incorporated innovative mechanisms, such as the cross-border division, which is unprecedented in the insurance sector in both Spain and Portugal.
The completion of the transaction marks a strategic milestone in consolidating Generali’s business in Iberia and realising the synergies resulting from the acquisition of Liberty Seguros.

La firma global Clifford Chance ha asesorado a Generali en la reorganización societaria de su grupo en España y Portugal tras la adquisición de Liberty Seguros, que se ha llevado a cabo, entre otras operaciones, a través de una fusión entre las dos aseguradoras de Generali en España y una escisión parcial transfronteriza del negocio de la sucursal en Portugal de una de dichas aseguradoras a favor de la aseguradora de Generali en Portugal (Generali Tranquilidade).
La conclusión de la operación ha supuesto un hito estratégico para la consolidación del negocio de Generali en Iberia y la realización de las sinergias derivadas de la adquisición de Liberty Seguros.
El equipo de Clifford Chance que ha asesorado a Generali en esta operación ha estado liderado por el counsel Miguel Barredo y la asociada María Viñas y ha contado con el apoyo del asociado sénior Juan Valcárcel y del of counsel Javier García de Enterría.
