Clifford Chance advises FCDE on the structuring of its third local specialist strategy buyout fund, FCDE Fund III, which reached its €400 million hard cap
As part of its continued specialized investment strategy, FCDE has closed the fundraising for its third local specialist strategy buyout fund, FCDE Fund III, at its €400 million hard cap, following a process completed in just over six months in a particularly challenging and competitive environment.
The fund was oversubscribed, increasing its size by c.45% compared to the FCDE Fund II (closed in 2023 at €277 million), and has attracted the support of blue-chip institutional investors in France and internationally.
This fundraising enables FCDE to pursue its proven strategy of supporting the development and transformation of SMEs and mid-cap companies with strong growth potential.
Clifford Chance advised FCDE on this transaction with a team comprising in Paris of Xavier Comaills, partner, Benjamin Massot, counsel, and Marc El Khoury, associate, on the fund aspects, as well as Pierre Goyat, partner, Elise Poiraud and Andréa Pilisi, associates, on the tax aspects.

Dans le cadre de la poursuite de sa stratégie d’investissement spécialisée, FCDE clôture la levée de son troisième fonds de capital-investissement, FCDE Fund III, à son hard cap de 400 M€, au terme d’un processus mené en un peu plus de six mois dans un contexte de marché particulièrement concurrentiel.
Sursouscrit, le fonds enregistre une hausse d’environ 45 % par rapport à FCDE Fund II (clos en 2023 à 277 M€) et bénéficie du soutien d’investisseurs institutionnels français et internationaux de premier plan.
Cette levée de capitaux permet à FCDE de poursuivre sa stratégie éprouvée d’accompagnement du développement et de la transformation de PME et ETI à fort potentiel de croissance.
