Clifford Chance advises EQT on its entry into exclusive negotiations with the founders of Waga Energy and certain historical shareholders to acquire a majority stake in Waga Energy and launch a mandatory tender offer for 100% of the company
EQT, through its EQT Transition Infrastructure strategy, has entered into exclusive negotiations with Waga Energy's founders and certain historical shareholders (Starquest Capital, Tertium, Noria, SWEN Impact Fund for Transition and ALIAD) for the acquisition of a majority stake in Waga Energy.
Completion of this block, which is subject to customary regulatory approvals, would result in the filing of a mandatory cash tender offer for the remaining Waga Energy shares. Should the tender offer be successful, EQT intends to implement a squeeze-out of Waga Energy.
As EQT Transition Infrastructure’s third investment, Waga Energy aligns perfectly with EQT's strategy to scale businesses that help drive proven and profitable new energy solutions towards and a more resource-efficient, circular economy.
Waga Energy is a French leading producer of renewable natural gas (“RNG”), also called biomethane, from landfill gas. The Company deploys an innovative patented technology, allowing, at a competitive cost, to produce RNG from landfill gas to substitute fossil natural gas. By monetizing landfill gas, the Company has a significant impact on methane emission reduction.

EQT, par l’intermédiaire de sa stratégie EQT Transition Infrastructure, est entré en négociations exclusives avec les fondateurs de Waga Energy ainsi que certains de ses actionnaires historiques (Starquest Capital, Tertium, Noria, SWEN Impact Fund for Transition et ALIAD) pour l'acquisition d'une participation majoritaire dans Waga Energy.
L'acquisition de ce bloc de contrôle, qui est conditionnée à l'obtention d'autorisations réglementaires usuelles, entraînerait le dépôt d'une offre publique d'achat sur le solde des actions Waga Energy. En cas de succès de l'offre publique, EQT a l'intention de mettre en œuvre une procédure de retrait obligatoire.
En tant que troisième investissement réalisé par EQT Transition Infrastructure, Waga Energy s'aligne parfaitement avec la stratégie d'EQT visant à faire grandir les entreprises qui contribuent au déploiement de solutions énergétiques nouvelles, éprouvées et rentables et à la mise en place d’une économie circulaire, plus efficiente dans la gestion des ressources.
Waga Energy est un acteur français de référence à l'échelle mondiale spécialisé dans la production de gaz naturel renouvelable, également appelé biométhane, à partir de déchets.
