Clifford Chance advises the European Bank for Reconstruction and Development and International Finance Corporation on landmark telecommunications project in Ukraine
Clifford Chance advised the European Bank for Reconstruction and Development (EBRD) and the International Finance Corporation (IFC) on the landmark financing of the acquisition and merger of two major Ukrainian companies: Lifecell, Ukraine’s third-largest mobile operator, and Datagroup-Volia, a leading provider of fixed broadband and PayTV services. The transaction marked the entry of NJJ, a France-based telecommunications company, into the Ukrainian market.
This represents the largest foreign direct investment in Ukraine since Russia’s invasion, with the project supported by de-risking guarantees from the Government of France and the European Commission. The investment will significantly enhance both fixed and mobile connectivity for millions of Ukrainians, contributing to the country’s resilience, digitalisation and growth in this critical infrastructure.

Clifford Chance a conseillé la Banque européenne pour la reconstruction et le développement (BERD) et la Société financière internationale (SFI) dans le cadre du financement historique de l’acquisition et de la fusion de deux entreprises ukrainiennes majeures : Lifecell, troisième opérateur mobile du pays, et Datagroup-Volia, l’un des principaux fournisseurs de services haut débit fixe et de télévision payante. Cette opération marque l’entrée de NJJ, société de télécommunications basée en France, sur le marché ukrainien.
Il s’agit de l'investissement direct étranger le plus important en Ukraine depuis l’invasion russe et le projet est soutenu par des garanties de réduction des risques fournies par le gouvernement français et la Commission européenne. Cet investissement améliorera considérablement la connectivité fixe et mobile pour des millions d'Ukrainiens, contribuant à la résilience, à la numérisation et à la croissance du pays dans cette infrastructure essentielle.
