Clifford Chance successfully defends the City of Friedrichshafen also from a civil law perspective in the legal dispute relating to the Zeppelin Foundation

Clifford Chance has successfully defended the City of Friedrichshafen also under civil law against claims brought against its Zeppelin Foundation by one of the founder's descendants. Albrecht von Brandenstein-Zeppelin, great-grandson of Ferdinand Graf von Zeppelin, the founder of the Zeppelin Foundation and aviation pioneer, withdrew his appeal against a ruling handed down by Ravensburg Regional Court in November 2021 after Stuttgart Higher Regional Court had, at the oral hearing on 28 November 2022 in the appeal proceedings, expressed considerable doubts as to the prospects of a successful appeal. This means the ruling scheduled to be issued on 10 February will no longer be necessary and the ruling by Ravensburg Regional Court dismissing the action has become final and binding.

The civil law proceedings before Ravensburg Regional Court concerned claims for damages amounting to around eleven million euros which Albrecht von Brandenstein-Zeppelin claimed to have under a settlement agreement concluded in 1923 governing certain payments to the founder's descendants. In actual fact, he had expressly waived any such claims when he sold a stake in ZF belonging to his family in 1990.

Andreas Dietzel, of counsel at Clifford Chance, commented: "We are delighted about the outcome of these proceedings. It means that a complex legal matter which we have been working on for more than seven years has been brought to a highly successful and almost complete conclusion."

Parallel to the civil proceedings, Albrecht von Brandenstein-Zeppelin and his son had been trying since 2015 to have claims to restitution of the old Zeppelin Foundation enforced in administrative proceedings. However, the two of them ultimately failed in June 2022, when the Higher Administrative Court for the Federal State of Baden-Württemberg rejected the appeal against a decision by Sigmaringen Administrative Court and excluded a further appeal on points of law. The Administrative Court in Sigmaringen had dismissed the action by the two descendants in January 2020, stating that they had no standing to sue.

The Zeppelin Foundation is a foundation with no legal personality of its own belonging to the City of Friedrichshafen. Its activities include acting as the principal shareholder of global automotive supplier ZF Friedrichshafen AG.

Clifford Chance verteidigt Stadt Friedrichshafen auch zivilrechtlich erfolgreich im Rechtsstreit um Zeppelin-Stiftung

Die internationale Anwaltssozietät Clifford Chance hat die Stadt Friedrichshafen auch zivilrechtlich erfolgreich gegen Angriffe auf die städtische Zeppelin-Stiftung durch einen der Nachfahren des Stifters verteidigt. Albrecht von Brandenstein-Zeppelin, Urenkel des Stiftungsgründers und Luftfahrtpioniers Ferdinand Graf von Zeppelin, zog seine Berufung gegen ein Urteil des Landgerichts Ravensburg vom November 2021 zurück, nachdem das Oberlandesgericht Stuttgart in der mündlichen Verhandlung im Berufungsverfahren am 28. November 2022 erhebliche Zweifel an den Erfolgsaussichten der Berufung geäußert hatte. Damit erübrigt sich das für den 10. Februar angekündigte Urteil. Das Urteil des Landgerichts Ravensburg, das die Klage abgewiesen hatte, ist somit rechtskräftig.

Beim Zivilverfahren vor dem Landgericht Ravensburg ging es um angebliche Schadensersatz-ansprüche von Albrecht von Brandenstein-Zeppelin aus einer Vergleichsvereinbarung aus dem Jahr 1923, die bestimmte Zahlungen an die Nachfahren des Stiftungsgründers regelte. Albrecht von Brandenstein-Zeppelin leitete daraus eine Forderung von rund elf Millionen Euro ab. Er hatte allerdings im Jahr 1990 beim Verkauf eines ZF-Aktienpakets seiner Familie ausdrücklich auf entsprechende Ansprüche verzichtet.

Parallel zu dem Zivilverfahren strebte Albrecht von Brandenstein-Zeppelin gemeinsam mit seinem Sohn seit 2015 die Restitution der alten Zeppelin-Stiftung auf dem Verwaltungsrechtsweg an. Die beiden scheiterten damit aber endgültig im Juni 2022, als der Verwaltungsgerichtshof Baden-Württemberg die Berufung gegen eine Entscheidung des Verwaltungsgerichts Sigmaringen zurückwies und eine Revision ausschloss. Das VG Sigmaringen hatte die Klage der beiden Nachfahren mangels Klagebefugnis im Januar 2020 abgewiesen.

Die heutige Zeppelin-Stiftung ist als rechtlich unselbstständige Stiftung ein Sondervermögen der Stadt Friedrichshafen und unter anderem Hauptaktionärin des weltweit agierenden Automobilzulieferers ZF Friedrichshafen AG.
