Clifford Chance advises ORPEA Group on share transfer of rehabilitation clinic in Thuringia and joint venture
International law firm Clifford Chance has advised ORPEA Group, a world leader in long-term care, on the transfer of shares in the ownership company of a rehabilitation clinic in Bad Langensalza, Thuringia (Germany), to Belgian investor Cofinimmo and on the establishment of a joint venture with the buyer. The deal took place as part of a sale and lease back transaction. Signing and closing both took place on 30 June 2021.
The operator of the 206-bed rehabilitation clinic, which was built in 1998 and has 11,000 square meters of usable space, is Celenus SE, a subsidiary of the ORPEA Group. Cofinimmo has acquired the majority of shares in the ownership company. The landlord of the clinic building is now a joint venture of ORPEA and Cofinimmo.

Die internationale Anwaltssozietät Clifford Chance hat die ORPEA Gruppe, ein weltweit führendes Unternehmen im Bereich der Langzeitpflege, bei der Anteilsübertragung der Eigentümergesellschaft einer Rehaklinik im thüringischen Bad Langensalza an den belgischen Investor Cofinimmo sowie bei der Gründung eines Joint Ventures mit dem Käufer beraten. Der Deal erfolgte im Rahmen einer Sale & Lease-Back-Transaktion. Signing und Closing fanden beide am 30. Juni 2021 statt.
Betreiber der 1998 gebauten Rehaklinik mit 206 Betten und einer Nutzfläche von 11.000 Quadratmetern ist Celenus SE, ein Tochterunternehmen der ORPEA Gruppe. Cofinimmo hat nun die Mehrheit der Anteile an der Eigentümergesellschaft übernommen. Vermieter des Klinikgebäudes ist nun das Joint Venture von ORPEA und Cofinimmo.
