Clifford Chance advises J.P. Morgan on SF Holding's US$2.3 billion pre-conditional partial offer to acquire controlling stake in Kerry Logistics
Leading international law firm Clifford Chance has advised J.P. Morgan Securities (Asia Pacific) Limited on its role as the exclusive financial advisor to S.F. Holding Co., Ltd. (S.F. Holding) acting through its wholly-owned subsidiary on its HK$17.6 billion (US$2.3 billion) pre-conditional voluntary partial offer to acquire approximately 51.8% in Kerry Logistics Network Limited. The launch of the partial offer is subject to certain pre-conditions, including but not limited to antitrust, regulatory and shareholders' approvals.
Partners Amy Lo and Bryan Koo co-led the transaction, with support from partner Edith Leung, senior associates Tommy Tam and Winnie Poon, and associates Chit Kwong, Anson Wong and Beanka Chiang.
Separately, Clifford Chance has advised J.P. Morgan as sole mandated lead arranger and bookrunner on its certain funds debt financing to an affiliate of S.F. Holding relating to the partial offer. Partner Anthony Wang led the debt financing aspects, with support from senior associate Beej Radia and trainee solicitor Winky Su.
