Clifford Chance advises Sedgwick on its acquisition of Stericycle's Expert Solutions service line

New York: Leading international law firm Clifford Chance has advised Sedgwick on its acquisition of Stericycle's Expert Solutions service line (Expert Solutions). Expert Solutions is a market leader in helping companies protect their consumers and brand reputations by managing a wide range of in-market business and product risks through more than 5000 recall and remediation programs since 1995.

Sedgwick is a global provider of technology-enabled risk, benefits and integrated business solutions with more than 27,000 colleagues, located across 65 countries. Sedgwick's majority shareholder is investment firm The Carlyle Group. Stone Point Capital LLC, La Caisse de dépôt et placement du Québec (CDPQ), Onex Corporation and other management investors are minority shareholders.

As part of the transaction, Sedgwick brought the recall, remediation and retention business of Expert Solutions under the banner of Sedgwick's specialty operations. At closing, Sedgwick gained more than 300 new colleagues from Expert Solutions across the US, Canada and Europe.

Insurance and M&A partner Gary Boss led the deal, supported by senior associate Neil Barlow. The wider team included partners Howard Adler, Philip Wagman and Joseph Cosentino, counsel Daryl Fairbairn and associates Atul Jain, Katherine Chang, Peter Guinnane and Lauren Clarke. 

Clifford Chance has advised Sedgwick on numerous matters including its acquisition of York Risk Services Group along with the sale of its group health peer review and independent medical examination business to ExamWorks, LLC.
