Clifford Chance advises Cofinimmo on EUR 250 million investment in care home projects in Germany
Clifford Chance has advised the Belgian investment firm Cofinimmo on an investment of around EUR 250 million in eight care home projects in North Rhine-Westphalia. The properties will be developed by a local project development agency. The Schönes Leben group will operate the care homes and has signed 25-year leasehold agreements.
The eight care homes comprise some 1,100 residential units. They are all located in residential areas of large towns and have good public transport links and retail options nearby. Work is scheduled to start this year on the first property in Erftstadt – a complex with around 160 assisted living apartments. The other projects will start over the course of next year, with completion of the final building due at the end of 2022.
The transaction included both an exclusive cooperation agreement and the acquisition of an interest in the capital of the future holding companies. During the construction of the innovative care homes, loans will be provided by the KfW development bank. And Cofinimmo will use existing and future loan facilities to acquire shares in the future holding companies.

Clifford Chance berät Cofinimmo bei 250 Millionen Euro-Investition in Pflegeheim-Projekte in Deutschland
Die internationale Anwaltssozietät Clifford Chance hat das belgische Immobilienunternehmen Cofinimmo bei einer Investition in Höhe von rund 250 Millionen Euro in acht Pflegeheim-Projekte in Nordrhein-Westfalen beraten. Ein lokales Projektentwicklungsbüro realisiert die Immobilien. Die Gruppe Schönes Leben wird die Pflegeheime betreiben und hat Pachtverträge mit 25 Jahren Laufzeit unterzeichnet.
Die acht Pflegeheimimmobilien umfassen insgesamt rund 1.100 Einheiten. Sie liegen alle in Wohngebieten mittelgroßer Städte und befinden sich in der Nähe von öffentlichem Nahverkehr und Geschäften. Noch in diesem Jahr beginnen die Arbeiten für die erste Immobilie in Erftstadt, wo ein Komplex mit rund 160 betreuten Wohnungen entsteht. Die anderen Projekte starten in den darauffolgenden Trimestern, die Abnahme der letzten Gebäude ist für Ende 2022 vorgesehen.
Die Transaktion umfasste sowohl eine exklusive Kooperationsvereinbarung als auch den Erwerb einer Beteiligung am Kapital der zukünftigen Eigentümergesellschaften. Während der Bauphase der innovativen Pflegeheime sollen Kredite aus dem KfW-Programm aufgenommen werden. Für den Erwerb der Anteile an den zukünftigen Eigentümergesellschaften wird Cofinimmo auf eigene bestehende und künftige Kreditlinien zurückgreifen.
